This study analyzes the strategic transformation required of Korean enterprises in China following the implementation of the 2020 Foreign Investment Law (FIL) and the policy directions of the 20th CPC Central Committee's Third Plenary Session. The dual-track legal system of the past 40 years, which favored Foreign-Invested Enterprises (FIEs), has ended, and all FIEs now face the mandatory challenge of restructuring their governance to comply with China's Company Law by the end of 2024. Through an interpretive analysis of laws, policy documents, and cases, this study argues that Korean firms must shift from their past reliance on preferential policies. Enterprises must now simultaneously pursue active tax optimization through High and New Technology Enterprise (HNTE) certification, comply with the stricter capital contribution rules of the revised Company Law, and ensure strategic alignment with China's industrial agenda, represented by "new quality productive forces". In conclusion, this study proposes a practical response framework centered on advanced compliance, deep localization, and strategic alignment, and presents policy implications to support Korean firms in this transition.

본 연구는 2020년 시행된 중국의 「외상투자법」과 제20기 3중전회의 정책 기조가 재중 한국 기업에 요구하는 전략적 전환을 심층 분석한다. 과거 40년간 외국인투자기업(FIE)에 주어졌던 우대 정책 기반의 이원적 법률 체계가 종식되고, 모든 기업은 2024년 말까지 중국 「회사법」에 부합하도록 지배구조를 개편해야 하는 강제적 과제에 직면했다. 본 연구는 법령, 정책 문서 및 사례에 대한 해석적 분석을 통해, 한국 기업의 생존 전략이 과거의 수동적 정책 의존에서 벗어나야 함을 주장한다. 이제 기업들은 고신기술기업(HNTE) 인증을 통한 능동적 세무 최적화, 개정 회사법의 자본금 납입 의무 준수, 그리고 '신질적 생산력'으로 대표되는 중국 산업정책과의 전략적 정합성 확보를 동시에 추구해야 한다. 결론적으로 본 연구는 준법경영 고도화, 심층 현지화, 전략적 동조화를 핵심 축으로 하는 실무적 대응 프레임워크를 제안하고, 전환기의 우리 기업을 위한 정책적 시사점을 제시한다.
