In the beginning of the 18th century the ‘corporation’ was born as an instrument for the concentration of capital with the purpose of making large sum of money for the investments which were needed for the colonialistic expansions of many European countries. At that time it was the symbol of a new age for the European world. This instrument also became a symbol of capitalism thanks to its capitalistic market-friendly character, not to speak of its role in the history of capitalism. For the purpose of capital concentration the ‘share’(actio) is put to use. However, capital concentration was not realized only by the instrument of 'share'. Bonds are also used for that purpose. The function of capital concentration through shares and bonds is regarded as the most important one of the diverse functions of the corporation. Besides corporations should be understood as instruments for many other purposes. They play special roles in the society and for enterprises. In the future the roles and functions of corporations will be expanded to be more than those of the present day. The diverse functions and the increasing social powers of corporations make law-makers think about it, if some special law-making policies are needed for corporations.

주식회사는 18세기에 식민지 개척을 위하여 필요한 대자본을 만들어내기 위하여 사용된 방식인 자본집적의 특별한 도구로 탄생하였다. 동인도회사를 주식회사로 만든 것인데, 대규모 자금이 필요했으며 회사는 이를 주식과 사채로써 직접 조달했던 것이다. 그 당시 주식회사는 유럽세계에서 신시대의 상징이었다. 주식회사의 기능은 그 존재이유 내지 목적인데, 그것은 결국 주식과 사채의 유용성에 기대고 있다고 하겠다. 우선 주식과 사채는 자본집적뿐만 아니라 위험분산 기능을 수행한다. 그 외에도 주식은 대사회적 기능과 기업을 위한 기능으로 분류할 만한 여러 가지 다양한 기능들을 수행하고 있으며, 이는 주식회사의 존재이유이기도 한 것이다. 기업, 특히 주식회사가 사회와 기업에서 중요한 역할을 한다는 것이 기업권력 혹은 기업의 공공성 내지 사회성 등의 용어로 포착되어 입증되고 있는데, 기업권력이라 할 정도의 힘을 가진 대기업 내지 글로벌기업들에 대한 제어가 필요한 실정이라고 하겠다.
