The Civil Code of the People’s Republic of China has refined the legal framework for negotiorum gestio compared to previous legislation. Where a person who has no obligation acts as a custodian to manage another person’s affair, is in principle subject to duties such as proper management under Articles 981 to 983 of the Civil Code of PRC. If it constitutes authorized negotiorum gestio, the custodian has the right to request the beneficiary to reimbure the necessary expenses and make appropriate compensation; in specific circumstances, the custodian may request remuneration; and the compensable damages are limited to those caused by the typical risks of the managed affairs. Article 980 of the Civil Code of PRC stipulates the right of the beneficiary to request the transfer of the benefit of the management, which applies only to unauthorized and presumptuous negotiorum gestio, and has significance independent of tort law and unjust enrichment. According to Article 984 of the Civil Code of PRC where real negotiorum gestio is subsequently ratified by the beneficiary, some provisions on entrustment contracts shall be applied. Compared to foreign laws, these provisions have distinct Chinese characteristics.
