This study analyzes how the largest shareholders’ ownership affects the risk of SMEs listed in the KOSDAQ market. According to Agrawal and Mandelker (1987), managers with shares in firms predict that their stakes in the firm will rise with the higher ownership, creating favorable conditions for managers, but that with the higher risks, they also predict that conditions unfavorable to managers will be formed by reducing their human capital due to increased uncertainty. Based on their research background, this study conducts an empirical analysis to examine the effect of the largest shareholders’ ownership on SMEs' risk and find that the total, systematic, and idiosyncratic risks of SMEs all decrease as the largest shareholders’ ownership increases. However, this phenomenon has largely lessened for venture companies. This paper has policy implications in that it provides a new perspective to investors and financial authorities who value the relationship between risk and return.

본 연구는 코스닥 중소기업을 대상으로 하여, 최대주주 지분율이 동 기업의 위험에 어떠한 영향을 미치는지 분석한 연구이다. Agrawal and Mandelker (1987)에 의하면, 기업의 지분을 보유한 경영자는 기업의 위험이 증가할 경우 기업내 자신의 지분도 함께 상승함으로써 경영자에게 유리한 조건이 형성될 것임을 사전적으로 예측하고, 반대로 기업의 위험이 증가할 경우 불확실성의 증대로 인해 자신의 인적자본(human capital)이 감소함으로써 경영자에게 불리한 조건이 형성됨을 역시 사전적으로 예측함으로써, 경영자 지분의 고저에 따라 기업의 위험수준을 조절함을 보고하였다. 본 연구에서는 이들의 연구배경에 근거하여, 최대주주 지분율이 중소기업의 위험에 미치는 영향을 고찰하기 위해 실증 분석을 행한 결과, 최대주주 지분율이 증가할수록 기업의 위험회피도가 증가함으로써 중소기업의 총위험, 체계적 위험, 고유위험이 공히 감소 함을 발견하였다. 그런데 이 같은 현상은 벤처기업일 경우 상당 부분 완화되었다. 본 논문은 중소기업의 위험회피도가 최대주주 지분율과 매우 밀접한 관계가 있다는 점을 새로이 지적함으로써, 위험과 수익성의 관계를 중요하게 여기는 투자자 및 금융당국에 새로운 관점을 제공한다는 점에서 정책적 시사점이 있다.
