지식재산 라이선스 거절의 경쟁법 위반 여부에 관한 판단 - 미국의 규정 및 사례와의 비교를 중심으로 -

Intellectual property rights holders monopolize the right to use intellectual property despite competition laws, and this exclusivity prevents them from using intellectual property without the permission of intellectual property rights holders. However, this exclusivity may be illegalized or restricted if it is limited by the purpose of the law or the affects of market competition in relation to competition laws. In this respect, the act of an intellectual property owner refusing a license to another person for his or her intellectual property is a legitimate exercise of rights, but if he or she refuses unfairly, it may violate the Competition Act. Our competition law has prepared guidelines for unfair exercise to deal with these problems, but it is gradually making it difficult to reject licenses, and the method of judgment is not clear. In addition, the problems related to the recent FRAND standard patent or market-dominant intellectual property rights holder's license rejection has been raised. Compared to the basic direction and validity review method for refusal of intellectual property licenses under U.S. law, the refusal of intellectual property licenses should, in principle, not be prevented because it is the exercise of rights of intellectual property holders. Most attempts to prevent license rejection are considered in connection with other acts, and pure license rejection is not a violation of competition law unless it has culpability or the purpose of conspiracy. In addition, refusal of intellectual property licenses requires judgment based on the four stages of rationality - the existence of anti-competitive effects, justification for promoting competition, achievement of objectives by alternatives, balance of anti-competitive and pro-competitive effects, and a flexible approach is needed to refer to the potential impact of incentives on future innovation and damage to overall competition.

지식재산권자는 경쟁법에도 불구하고 지식재산을 활용할 권리를 독점하며, 이러한 배타성은 지식재산권자의 허락 없이 지식재산을 활용할 수 없도록 한다. 다만, 이러한 배타성은 법의 목적에 의해 제한되거나 경쟁법과의 관계에서 시장 경쟁에 영향을 미치 면 불법화되거나 제한될 수 있다. 이러한 차원에서 지식재산권자가 자기 지식재산에 대하여 타인에게 라이선스를 거절하는 행위는 정당한 권리의 행사이지만, 부당하게 거 절하는 경우 경쟁법 위반이 될 수 있다. 우리 경쟁법은 이러한 문제에 대비하기 위해 부당행사지침을 마련하고 있으나, 라이선스 거절을 점차 어렵게 하는 경향이 있으며, 판단 방법이 다소 복잡하고 정교하지 못하다. 또한, 최근에는 FRAND 표준특허나 시장 지배적 지식재산권자의 라이선스 거절에 대한 타당성 문제들도 발생하고 있다. 미국법에서의 지식재산 라이선스 거절에 대한 기본적 방향과 타당성 검토 방법과 비교해 볼 때, 지식재산 라이선스 거절은 원칙적으로 지식재산권자 고유의 권리행사로 서 이를 막아서는 안 된다. 라이선스 거절을 저지하려는 시도는 대부분 다른 행위들과 연관지어 생각함으로써 그 거절을 경쟁법 위반이라고 하는 것이며, 순수한 라이선스 거절은 그 자체가 유책성이나 공모 등의 목적이 없는 한, 경쟁법 위반이 아니다. 또한, 지식재산 라이선스 거절은 합리의 원칙 4단계 - 반경쟁 효과의 존재, 경쟁 촉진에 대한 정당성, 대안에 의한 목적의 달성, 반경쟁적 요소와 친경쟁적 영향의 균형 - 에 의한 판단이 필요하며, 미래 혁신에 대한 인센티브의 잠재적 영향과 전체 경쟁에 대한 피해 등을 참고할 수 있는 유연한 접근이 필요하다.
