Introduced through the revised Trust Act 2013, the limited liability trust has now been actively used in certain areas, such as real estate trusts. However, the limited liability trust is most likely to be used mechanically as a "limited liability agreement with registration" in practice, and does not seem to be used in various ways as a substitute for a corporation that was expected at the time of its introduction. Some say this is because the system is not yet familiar in practice, but more fundamentally, it seems that the limited liability trust has not been fully understood. Therefore, looking at the differences and relationships between limited liability trusts and limited liability agreement, which are similarly understood in 'the function of limiting liability of the trustee', will also be necessary for the more active use of the limited liability trust. and It is also meaningful for the various uses of trusts. The various uses of trusts are based on the various forms and structures of risk allocation among trust property – trustees – third parties (the counterparty). Since the core of the risk allocation structure here is the type and size of the trustee's liabilities, it is important to compare the devices limiting the trustee's liabilities and to identify the differences for the various uses of the trust. In comparison, the limit liability agreement is a risk allocation contract through the agreement of the parties of the transaction, and the limited liability trust is a 'corporated trust' instrument made by law to enable the trust to be used more like the company. Differences in this purpose also appear in the scope and content of the limited liability limits of limited liability trusts. Article 118 of the Trust Act, referring to Article 401 of the Commercial Act, presupposes the loss of a third party in the event of a breach of trustee’s duties, and cannot be seen as a direct provision for the obligations and liabilities of a contract between the trustee and the trust creditor, such as a limited liability agreement. The limited liability trust and limited liability agreement are different in the scope of purpose, effect, cost and liability limit. Therefore, both methods can be used for different reasons in practice. It is unnecessary to use limited liability trusts in situation that do not have many transactions. In such cases, it is sufficient to use the limited liability agreement. Conversely, if there are many parties or frequent transactions, limited liability trust will be more efficient. In other words, while using limited liability trusts depending, specific transactions may be pursued to reduce the overall transaction costs by allocating risks by using a limited liability agreement in accordance with the circumstances. However, more discussion is needed on how to identify the limited liability agreement, the issue of the limited scope of liability and the interpretation of Article 118, and in particular, the issue of "interpretation of the limited liability trust that has not been registered" is expected to occur in practice, so caution is needed. More fundamentally, it is also possible to consider to improve the legislation related to the limited liability agreement by referring to the Japanese Trust Act or the UTC's example, and Discussions on the need to use ‘corporateized trust’ instead of company will have to continue with more cases. Yet, trust itself is not much familiar to us. Various uses of trusts can be achieved through various variations in risk allocation, which presupposes an understanding of the trust. I think that if cases related with relationship and differences between the limited liability trust and the limited liability agreement are accumulated and discussed, it will allow us to understand and utilize the trust more deeply. I hope this article will provide a small clue for such future discussions.

2013년 개정 신탁법에서 도입된 유한책임신탁 제도는 현재 부동산신탁 등의 특정 분야에서 활발히 사용되고 있다. 그러나, 동 제도는 실무상 '등기를 통한 대세효를 가진 수탁자 책임 한정 특약' 정도로 기계적으로 사용되고 있는 경우가 대부분이 고, 도입 당시 기대되었던 새로운 사업 형태의 기구(instrument)로서 다양하게 활용 되지는 못하고 있는 것으로 보인다. 이는 근본적으로는 제도에 대한 이해가 충분히 이루어지지 않았기 때문으로 보인다. 따라서, ‘수탁자의 책임을 한정한다는 기능’에 서 유사하게 이해되는 유한책임신탁과 책임한정특약의 차이점과 관계를 살펴보는 것이 유한책임신탁 제도의 보다 활발한 활용을 위해서도 필요할 것이다. 또한, 신 탁의 다양한 활용은 다양한 위험배분 구조를 통해서 이루어지고 이때 중요한 핵심 이 되는 것은 수탁자의 책임의 종류와 크기이므로, 이는 보다 근본적으로는 신탁의 다양한 활용을 위해서도 의미가 있다. 비교해보면, 책임한정특약은 거래 당사자들의 합의를 통한 위험 배분 계약이고, 유한책임신탁은 신탁을 보다 회사에 가깝게 사용할 수 있게 하기 위해 법으로 만든 ‘회사化 된 신탁’ 기구이다. 이러한 취지의 차이는 유한책임신탁의 책임 한정의 범 위와 내용에서 잘 확인할 수 있다. 유한책임신탁과 책임한정특약은 취지, 효과, 비용, 책임 한정의 범위에서 모두 차이 가 있는 제도로 그 병용의 필요성이 충분히 인정된다. 외부와의 거래가 빈번하지 않은 신탁에서 굳이 비용을 지출하며 유한책임신탁을 사용하는 것은 불필요하고, 책임한정특약으로 충분하며, 반대로 당사자가 많거나, 거래가 빈번할 경우에는 유 한책임신탁이 보다 효율적이라 할 것이다. 즉, 상황에 따라 유한책임신탁을 사용하 면서도, 특정 거래에 있어서는 상황에 맞추어 책임한정특약을 병용하여 위험의 배 분과 이를 통한 전체 거래 비용의 절감을 추구할 수도 있다. 다만, 책임한정특약의 확인 방법, 책임 한정 범위의 문제와 유한책임신탁 제118조 의 해석과 관련한 문제에 대해서는 좀 더 논의가 필요할 것으로 보인다. 특히나 ‘등 기되지 않은 유한책임신탁의 책임한정특약으로의 해석’ 문제는 실무에서 충분히 발 생할 수 있을 것으로 예상되어 이에 대한 주의가 필요하다고 본다. 보다 근본적으 로는 책임한정특약과 관련한 법제를 일본 신탁법이나 미국 UTC의 예를 참조하여 보다 명확하게 정리하는 방안도 검토할 수 있다. 또한, 이와 병행하여 주식회사라 는 선택지가 있음에도 불구하고, 유한책임신탁 제도를 통해서 신탁을 주식회사화 하는 것의 의의와 필요성 그리고, 활용 방안에 대해서는 실무에서의 사례 축적을 통해서 지속적으로 논의가 필요한 것으로 보인다.
