A Study on Executive Officer System under Company Law of Mongolia

In 1997, first time Mongolia had established Law of Mongolia on Company independently. In that company law, corporate governance of Mongolia was consisted of executive body(executive officer), board of directors, supervisory board and shareholders meeting. However, lot of problems such as violation of minority shareholders rights, lack of preparing financial statement and providing information about corporate management and financial were existed in that time, because of majority shareholders were wholly controlled corporate management and board of directors and supervisory board were not operated rightly. For the reason, on the one hand, in purpose improve transparency in management and protect rights of the minority shareholders, on the other, to comply with global standards, Mongolia introduced elements of american corporate governance model which is known as “the unitary system”. Therefore, 2011 revised Company Law required from all stock companies that more than one third of members of board of directors shall be independent members and board of directors should establish audit, salary, bonus and nominating committees which shall be consist of independent directors no less than two-thirds. Of course, supervisory board system was abolished. So after 2011 revising of Company law, Mongolian corporate governance is consisted of executive body(executive officer), board of directors, audit committee, shareholders meeting. But there are no studies on executive officer’s legal status, relation with corporate and separation of execution function and supervision function of corporate operation. Specially, appointing, authority, duty and responsibility of executive officer are not researched. That’s why this paper’s research scope was determined and it introduced current regulation of executive officer and found out legal problems of current regulation and presented improvement.

몽골은 1990년 초부터 사회주의 시장경제에서 자유 시장경제 모델로 바뀌면서 기업들의 활동 도 많아졌다. 기업들이 영업하기에 적합한 법적환경이 필요했고, 몽골은 회사법을 4차례(1991 년, 1995년, 1999년, 2011년)에 걸쳐 제정 및 개정을 해 왔다. 그럼에도 여전히 몽골의 회사법은 국제적 기준에 미흡한 부분이 적지 않고 학제적 연구도 미흡한 상황이다. 몽골에서는 이사회와 집행임원의 권한 분리 및 지위 그리고 집행임원의 선임, 권한, 의무, 책임에 관한 연구가 전무한 상황이다. 몽골의 기업지배구조나 집행임원에 대하여 경제적 및 경영적인 면에서 연구한 논문이 있지만 법적인 면에서 한 연구한 논문이 없다. 따라서 본 논문에서 현행 몽골의 집행임원제도의 특징, 문제점, 개선 방향 등을 연구하는 것은 몽골의 주식회사의 지배구조 발전에 도움이 될 것으로 본다.
