The Transformation of the Capitalist Corporation : Its Process and Limitations

The rise of capitalism put the enterprise on the central status as an agent of production. Then, the role and function of the enterprise have been changed and expanded according to the development of capitalism. Their function are not confined to economic things but extended into political, social and cultural spheres. Nevertheless, the studies on the corporations have mainly focussed on economic and managerial aspects. In order to correct this bias, this paper will explore the social aspect of the capitalist corporations as regards their activities and functions. In terms of the social nature of the enterprise, this paper firstly discusses a historical aspect. The history of capitalist enterprise includes long-distance trade usually through ocean, industrial revolution, emergence of big corporations, managerial revolution, and rise of multi-national corporations in a chronological order. Then the analysis on the transformation of the nature begins with the coming of corporations, the enterprise as a legal person. This changed the form of shareholder’s liabilities from unlimited one to limited one. It is, however, not a whole story. The capitalist enterprise metamorphosed itself into the permanent one, and succeeded in continuously extending its rights as a natural person. Finally, it transcended the borders between countries, and then acquired trans-nationality as multi-national corporation. These changes enabled the corporations to enjoy the more privileges than other social agents but, simultaneously, to avoid the their responsibilities. While privatizing the profits, they could externalize the loss. Further, even though endeavoring to escape from democratic control, they could play a pivotal role in governance. We can call it hollowing of democratization. Now we witness the privatization which transfers the public resources and service into private market, commercialization which forces us to see everything in society as the sources of profits, and then financialization through which financial capital has predominant power over productive capital. In sum, though being created for helping the people, the enterprises, without social control, could repress them. That is the inherent nature of the capitalist corporation. This paper suggests that, in order to minimize the negative aspect of the capitalist corporation and maximize its positive contribution, we must consider the diverse alternatives such as rethinking the legal personhood of corporate body, invigorating communal or social enterprises, and socializing the market.

자본주의가 성립되면서 생산의 주체로 기업이 부상하였다. 기업의 역할과 기능은 자본주의 발전에 따라 시기별로 확장되고 변화를 겪게 된다. 기능은 경제에 국한되지 않고 정치ㆍ사회ㆍ문화적 차원으로 확장된다. 그렇지만 기업에 대한 연구는 경제적ㆍ 경영적 측면에 치우쳐 있다. 이 경향을 보완하기 위해, 이 글에서는 기업의 기능과 활 동을 사회적 측면에서 접근하여, 그 성격 변화과정을 통해 기업의 가능성과 한계를 고 찰하였다. 기업의 사회적 성격을 보기 위해 먼저 역사적 측면을 살펴보았다. 역사는 근대적 기업이 탄생하고 성장하는 원양무역, 산업혁명, 거대기업, 경영전문화, 다국적기업의 시기별로 정리하였다. 성격 변화는 기업이 법인이 되어 인간과 같은 법적 주체로 등장 하는 것부터 시작하였다. 다음은 주주가 무한책임에서 벗어나 유한책임만 지는 주식회 사의 특성을 살폈다. 그리고 기업이 영속성을 갖게 된 영속기업, 자연인 자격을 획득 하면서 권한의 지속적인 확장, 다국적기업이 갖는 초국적성의 의미를 보았다. 이런 변화를 통해 기업은 사회의 다른 주체들보다 더 많은 권한을 누리면서도 책임 은 회피하는 한계가 드러났다. 그 폐해는 기업이 이익은 사유화하되 손실은 바깥으로 전가하는 외부화, 민주적 통제를 벗어나면서도 거버넌스의 중요 행위자가 되는 탈민주 화, 공공 자원과 기능의 소유ㆍ관리권을 공적기구에서 사기업으로 넘기는 민영화, 사 회의 모든 것을 이윤추구 대상으로 만드는 상업화, 생산자본보다 금융자본을 우위에 둔 금융화로 살펴보았다. 요컨대 기업은 사람의 편의를 위해 만들어낸 창작물이지만 통제를 받지 않을 때는 사람을 억압하는 존재가 될 수 있다. 기업의 기본속성이 책임은 피하면서 수익을 극대 화하는 것이기 때문이다. 기업의 부작용을 줄이고 순기능을 확대하기 위해서 대안을 마련해야 한다. 대안은 기업의 법인격 재고, 공동체적 기업 활성화, 시장의 사회화 등 다양하다.
