This paper aims to analyze the Social Enterprise Promotion Act for suggesting amendment. As with reviewing the literature, I try to figure out identifiable features that include principles. Similarly it is argued that social enterprise depends on their national characteristics and that the law should be designed to meet these characteristics. As compared American style social enterprises with European style social enterprise, it is found that we need to understand Korean style social enterprise with reference to these different styles. Second, I divided my analysis into three part -certification, redemption of right system, financial support- and suggested amendment. As social enterprise ranges between the Civil and the Commercial, I did in-depth analysis while comparing with another laws. Finally, as it is found that the current contents of the law have several problems, in order to reforming these factors, I present a few alternative suggestions.

본 연구는 「사회적기업육성법」의 내용을 체계적으로 분석하여 발전적인 개선방향을 제시하고자 실시되었다. 이를 위해, 먼저 선행연구를 검토하면서 나타난 사회적 기업의 의의와 특징을 분석한 후 우리나라 사회적 기업의 출발 및 전개과정에 서 나타나는 차별성과 문제점을 제시하였다. 특히 사회적 기업의 성장과정에서 나타나는 특징을 찾는 한편, 유럽형 및 미국형 사회적 기업의 특징을 비교·분석하여 이것이 「사회적기업육성법」에서 갖는 함의를 나타내고자 하였다. 두 번째 본 논문 이 목적으로 두고 있는 「사회적기업육성법」의 쟁점에 대해 인증요건 권리구제 세제-재정지원으로 중심으로 분석하였다. 「사회적기업육성법」은 그 내용상 연관관 계에 있는 타 법과의 비교가 요구되는 만큼 적극적인 비교분석을 하였고 이를 통 해 문제점과 한계를 찾아 제시하였다. 마지막으로 분석된 결과를 기초로 하여, 법적 개선방향을 제언하였다.
