The new enterprise bankruptcy law formally implemented since june 1st, 2007 introduced the unusual bankruptcy reorganization system. And most important of all, the cram-down system involved in the bankruptcy reorganization system aims at improving success rate of reorganization. But because of the insufficiency in designing the cram-down rule, the interest of creditor couldn’t be defended fully. So the cram-down rule should be very cautious as an exotic. How to understand the cram-down system, how to further confirm criterion for the cram-down system, and how to relief improper application of the system? These are difficult problems that acadmic and practical circles couldn’t avoid facing up to all mentioned above. So this paper focus on the problem mentioned above.

2007년 6월 1일부터 개정 시행된 중국의 새로운 기업파산법은 회생제도를 도입 했다. 이 제도의 핵심은 회생의 성공률을 높이는 것에 두고 있다. 그러나 회생제도 설계상의 비효율적인 점, 또는 채권자 이익이 충분히 보장되지 못하고 있는 점 등 을 살펴볼 때 회생제도는 신중하게 다루어져야만 한다. 따라서 회생제도를 정확히 이해하고, 보다 규범화하고, 분명하게 적용하는 것이 학계나 실무에서 피할 수 없 는 难题다. 본 논문은 이러한 내용을 중심으로 중국 회생계획의 강제비준제도를 다루고자 한다. 먼저 중국 기업파산법상 회생계획 강제비준제도의 개요를 다루고, 회생계획 강제비준제도의 적용조건과 문제점 등을 살펴본 뒤 마지막으로 회생계획 강제비준제도의 개선책을 제시하고자 한다.
