This study argues the risk of transaction cost at the transaction of technological knowledge. The knowledge transaction is very useful for the innovation performance, but it can cause the unexpectable high transaction costs. Therefore the firm which tries to buy technological knowledge from outside sellers, needs prepare the method to economize transaction costs. The prior researches on agency theory have provided the safeguard and monitoring activities as the available defense mechanisms for the transaction costs caused by agency problems. But, prior researches on transaction costs seem to have little concerns for the difference between buyer companies at the level of information and knowledge for specific transaction. This study focuses on the firm-level abilities to cope with the opportunistic behavior of knowledge sellers, and suggests the specific factors which easily make the effective safeguard and efficient monitoring. The empirical study with the innovation data of 1,344 Korean firms shows the significant effects of all independent variables suggested by this study. The result of this study can provide the theoretical and practical implications for the knowledge and innovation management.

이 연구는 외부지식을 구매하는 기업이 겪을 수 있는 거래비용의 위험에 대해 논의한다. 외부지식의 거래는 계약 이전에 예측하기 어려운 높은 거래비용을 유발할 수 있는 위험한 행동이다. 따라서 지식을 구매하려는 기업은 이러한 거래비용에 대응하는 수단을 적절히 갖출 필요가 있을 것이다. 이 연구는 대리인이론이 제안하는 방어기재와 모니터링에 대한 논의를 사용하여, 지식구매 기업이 갖추어야 할 역량들에 대해 논의한다. 특히 이 연구는 거래비용과 관련하여 기존 연구들이 그다지 다루지 않았던 기업수준의 역량에 주목한다. 즉, 기업수준의 역량에 따라 효과적인 방어기재와 효율적인 모니터링 활동을 수행할 수 있는 가능성이 크게 달라질 것이라는 점이 이 연구의 핵심적인 주장이다. 1,344 개의 기업 자료를 사용한 실증연구의 결과 이 연구가 제시한 모든 요인들은 기업의 외부지식 구매행동과 유의한 연관성을 가지는 것으로 확인되었다. 이 연구의 결과는 외부지식 구매의 위험에 대응하는 기업들이 갖추어야 할 실무적 조건들을 알려준다는 점에서 가치를 가질 것이다.
