Franchise startups have grown steadily with the establishment of various theoretical and legal systems in developed countries such as the United States and Japan. In Korea, franchise was introduced as a field of business establishment in the 1970s. As the domestic franchise industry grows fast, the franchisor is doing the following illegal activities to the franchisee. ① We forced people to buy unnecessary items. ② to calculate advertising and advertising costs. ③ forced to replace the sign and calculate the cost. ④ We concluded a franchise agreement by presenting false sales forecasts and guarantee of success. Since then, the franchise headquarters has failed to fulfill its commitments to the franchisees, causing damage and spreading to social problems. Therefore, we will focus on the most basic information disclosure book, and suggest ways to improve the information disclosure system under the Affiliate Business Act.

프랜차이즈 창업은 미국과 일본 등 선진국에서 다양한 이론과 법적제도가 구축되면서 성장을 거듭해왔으며, 국내에서는 1970년대에 창업의 한 분야로 프랜차이즈가 도입되었다. 국내의 프랜차이즈산업이 고속성장하면서 가맹본부는 가맹희망자 또는 가맹점사업자에게 다음과 같은 불법행위를 행하였다. ① 불필요한 물건을 강제로 구매하게 함, ② 홍보 및 광고비용을 부담시킴, ③ 강제적으로 간판을 교체하고 비용을 부담하게 함, ④ 허위의 예상 매출액과 성공보장을 제시하여 프랜차이즈 계약체결을 체결하였고 이후 가맹본부는 가맹점사업자에게 약속한 사항을 이행하지 않아 재산적 피해를 발생시킴으로써 사회적 문제로 대두되었다. 공정거래위원회는 가맹본부의 불법행위를 방지하기 위하여 프랜차이즈 창업의 가장 기본이 되는 정보공개서 제도를 도입하였으나 현재에도 유사한 불법행위가 발생되고 있어 현재 시점의 정보공개서 제도를 중심으로 연구하여 효율적인 개선방안을 제시하고자 한다.
