"Going private" is a term to express a transaction or series of transactions by a controlling stockholder or other affiliated person to reduce the number of stockholders of a public company for delisting. It allows them to focus on long-term objectives rather than short-term profits without concerns for other stockholders. However the companies that go private may face disadvantages including loss of public markets for debt or equity financing and sometimes it can be reached to minority shareholder's. Although in Korea "Going Private" can be accomplished through various ways, the most practical one is the Merger as in US. Generally "Going Private" is get done through following one of two processes: One-step merger or Tender offer followed by a back-end merger (so called Two-step merger). In all process of "Going Private" an inherent conflict of interest may exist between controlling stockholder and minority shareholders because the former is seeking to acquire the entire target company share for its own interests. So Delaware Court requires them to owe fiduciary duties. Therefore it has been held that controlling shareholder has a fiduciary duty to corporation or minority stockholders and to avoid the entire fairness standard they must use special committee & minority stockholder approval. However in Korea there is no legal grounds for shareholder's fiduciary duty for protection of minority stockholder's interest. Therefore it is more logical that we need to strengthen the disclosure obligations that apply to "Going Private" transactions. Additionally the disclosure should include all "material facts" that are relevant to the decision by stockholders to approve or reject the proposed transaction.

주식회사의 “비상장화”란 주주의 수를 인위적으로 감소시킴으로써 당해 회사의 상장을 폐지하려는 목적의 거래 또는 일련의 행위를 말한다. 이로써 지배주주는 다른 소수주주를 고려하지 않고 독자적으로 경영을 수행할 수 있어 효과적으로 회사를 지배하는 한편 공시의무 등으로부터 자유로울 수 있다. 그러나 소수주주는 회사로부터 배제됨으로 인하여 재산권이 침해될 수 있고 회사도 더 이상 시장에서 자금을 조달할 수 없게 된다. 미국에서는 통상 지배주주에 의하여 설립한 회사가 대상회사를 흡수합병하고 소수주주에게는 금전을 교부하는 방법으로 비상장화를 실행한다. 미국 델라웨어 법원은 소수주주의 보호를 위하여 엄격한 사법심사기준을 요구하며 그 완화조건으로서 절차적으로 다양한 조건을 제시한다. 본 논문은 우리 상법상 비상장화의 방법으로서 주식매도청구권, 현금교부합병, 자기주식의 취득, 주식의 소각/병합을 제시하고 절차적 및 실질적 정당성 조건으로서 전자는 거래의 공시, 특별위원회의 설치, 소수주주의 동의 등을 검토하고 후자는 지배주주와 회사/소수주주의 이익충돌과 충실의무를 다루고 있다.
