Our society is a mass production and mass consumption society. Therefore, the use of standard contract terms is very useful and necessary. It has the function of rationality and standard2ization. But the maker of standard contract terms is companies. The companies have power and overruling position. To prevent the misuse of power, the country should intervene. We habe standard contract terms act since 1986. Germany had also standard contract terms act(AGB-Gesetz) since 1976. But Germany has moved the position of standard contract terms act to German Civil Law(BGB) in the year of 2002. It was a process of modernization of the law of obligations and transformation of EU directive. Germany has more detailed and complicated regulation in regard of application scope of rules about the standard contract terms. It is also connected with EU directives. § 15 Korean standard contract terms act regulates the restriction of application scope. This § 15 standard contract terms act is shaped up by its implementing ordinances. The internationally used standard contract terms of transport, finance business, insurance business and trade insurance are excepted from the application scope of the Korean standard contract terms act. It can be justified according to the special character of these fields. It is strongly related with international trade. On the other hands, the trade insurance was export insurance originally. But the Korean government reformed the export insurance to trade insurance in the year of 2010. It was international trend that not only export, but also import is included to the scope of support of government policy insurance. § 15 Korean standard contract terms act regulates only exception from §§ 7-14 of Korean standard contract terms act. But the Korean supreme court has sentenced that also the general clause of § 6 Korean standard contract terms act is excepted from its application. It is correct in the general cases. But the company can be very small and need protection of the weak. Therefore, we should discriminate between large companies and small companies. The Korean supreme court has also discriminated between large companies and small companies in the application of § 663 Korean commercial law. We should see the differences among the balances of power correctly. And we should give protection to the small companies. That means that Korean standard contract terms act should be applied to these weak and small companies. It is a kind of justice in the process of application of laws.

현대의 대량소비사회에서는 약관이 중요하다. 그런데 약관규제의 법리에 의하여 약자를 보호하지 않아도 되는 영역에 대하여는 약관규제법을 적용하지 않을 필요성도 존재한다. 그것이 적용제한에 대한 규정이다. 우리 약관규제법 제15조가 적용제한에 대한 규정이다. 무역보험은 국내기업이 대외거래상대방으로부터 수출대금 또는 선급금을 회수하지 못하여 입게 되는 손실을 보상함으로써 수출을 촉진하는 목적이 있으며, 수출입금융을 제공한 금융기관이 대출금을 회수하지 못하는 경우 이를 대지급함으로써 수출입금융을 촉진하는 역할도 수행하고 있다. 무역보험은 국가가 한국무역보험공사를 통하여 지원을 하는 정책적 보험이다. 한편 상법 제663조에 의하여 보험자가 보통보험약관에서 상법의 규정보다 보험계약자에게 불이익한 내용을 정하면 그 약관은 효력이 발생하지 않는다. 이는 보험계약자를 보호하기 위한 강력한 규제장치이다. 계약당사자간에 자유롭게 계약을 체결할 수 있다는 계약자유원칙을 일부 제한하는 규정이다. 보험계약의 부합계약성으로 인하여 파생되는 문제점을 완화시켜 보험계약을 이용하는 다수의 소비자의 이익을 보호할 필요성이 크기 때문에 도입한 규정이다. 계약자유원칙을 그대로 적용하면 우월적 지위에 있는 보험회사에 의한 자의적인 보험계약의 내용 형성을 방치할 위험이 있다는 점을 고려하여 계약자와 보험회사간의 대등하지 않은 관계를 보정하기 위하여 보험계약에 후견적 개입을 통하여 보험자와 보험계약자 사이의 이해관계를 조정하는 데에 그 취지가 있다. 다만 대법원은 기업을 상대로 하는 기업보험의 경우에도 보험계약자가 영세한 경우에는 다시 편면적 강행규정을 적용하는 방식으로 조정을 꾀하고 있다. 원래 약관규제법은 사업자의 상대방이 기업인 경우에도 적용이 된다. 대법원은 정책보험이지만 수출보험 내지는 무역보험에도 민영보험의 원리가 적용된다고 밝히고 있다. 그와 관련하여 상법 제663조 단서에서는 당사자 간의 힘의 균형을 고려하여 해상보험, 재보험 등 보험계약자측이 기업인 경우에는 불이익변경금지에 대한 동 규정이 적용되지 않는다고 밝히고 있다. 그렇지만 또한 영세 어업인인 경우 등에는 상대방이 기업이어도 상법 제663조의 불이익변경금지가 적용된다고 보고 있다. 이러함 점을 고려하여 보면 약관규제법 제15조에 의하여 동법의 적용제한영역인 경우에도 당사자 간의 힘의 균형관계를 고려하여 영세업자에 대하여는 다시 약관규제법을 적용하는 방식으로 제도를 운용하는 것이 필요하다.
