미국헌법상 법인(法人)의 표현의 자유에 관한 소고(小考)

An Essay on Freedom of Corporate Speech in U.S. Constitutional Law

The U.S. Supreme Court, on the ground of the listeners’ rights and the public interest on the free flow of information, has ruled that all acts of expression are protected by the First Amendment of the Constitution regardless of the identity of the speakers. By applying this rule to the expressive act of corporations, the U.S. Supreme Court could recognize the freedom of expression of the corporation without special theoretical argument, and no discrimination was allowed between the corporation and the individual in the freedom of expression. However, this result is due to the lack of a clear understanding of the constitutional rights of corporations, specifically the freedom of expression of corporations. It is clear that a corporation can be the subject of expression, but the fact that it can be the subject of expression does not mean that it can be protected by freedom of expression, which is the constitutional right of the Constitution. The constitutional right of a corporation is merely a derivative right in that it is a means to protect or realize an individual's rights or interests. Even if the freedom of expression of a corporation is recognized, the ultimate objective of protection is the freedom and right of individuals. The freedom of expression of a corporation is recognized to protect the freedom and rights of the persons concerned with the corporation, and the limit is set by such purpose. Therefore, in the case of recognizing the freedom of expression of a corporation or restricting the corporate freedom, many difficult issues on constitutional law may arise other than those of expression of an individual. This article will raise the issue of constitutional issues that can be raised about the freedom of expression of corporation, and it is hoped that discussions about the freedom of expression of corporation and, more generally, the rights of corporation will actively proceed in our constitutional law.

법인의 표현의 자유에 관한 미국의 논의를 살펴보는 것은 우리 헌법학에서 법인의 기본권에 관한 논의를 진전시키는 데에 도움을 줄 수 있다. 미국의 연방대법원은 언론의 자유 조항에 대해 법인의 기본권주체성을 인정한 바 있고, 표현의 자유에 관해서는 그 표현의 상대방(listener)이 가지는 정보를 수령할 권리와 정보의 자유로운 유통에 관한 사회 일반의 이익(public interest)을 근거로, 표현행위의 주체(speacker)가 누구인지에 관계없이 표현행위는 보호된다고 하였다. 이로써 법인의 표현의 자유도 개인의 표현과 아무런 차별없이 인정되게 되었다. 그러나, 연방대법원의 이러한 판단은 법인의 기본권, 구체적으로는 법인의 표현의 자유에 대한 정확한 이해의 결여에 의한 것이다. 법인도 표현의 주체가 될 수 있음은 분명하지만, 법인이 표현의 주체가 될 수 있다고 해서 그것이 곧 헌법상 기본권인 표현의 자유에 의한 보로를 받을 수 있다는 것을 의미하는 것은 아니다. 법인의 기본권은 개인의 권리나 이익의 보호 또는 실현을 위한 수단이라는 점에서 파생적 권리이다. 법인의 표현의 자유를 인정하는 것도 법인 그 자체의 표현에 대한 보호가 궁극적인 목적이 될 수는 없고, 법인과 관련된 사람들의 권리와 이익을 보호하기 위해서만 인정되고, 또 그러한 목적에 의해 한계가 설정되는 것이다. 한편, 법인의 표현의 자유를 보장하는 경우에 제기되는 몇 가지 쟁점들은 헌법적으로 중요한 의미를 가지며 보다 깊은 검토가 요구된다. 법인의 표현의 자유가 제한되는 경우는 엄밀히 말하면 법인이라는 이유로 표현행위에 대해 일정한 제한을 가하는 경우를 의미하며, 법인과 개인 모두에게 동일하게 적용되는 표현제한은 법인의 표현의 자유에 대한 제한이라고 보기는 어렵다. 또 법인의 표현의 자유가 반드시 그 구성원들의 표현의 자유를 보호하거나 실현하는 결과로 이어지는 것은 아니며, 법인의 표현의 자유 보장이 구성원들의 경제적 이익을 실현하는 수단이 되는 경우가 있는가 하면 일부 구성원들의 표현의 자유를 오히려 제약하는 경우도 얼마든지 있을 수 있다. 따라서 법인의 표현에 반대하는 구성원의 자유와 권리를 보호하는 방안이 요구되며 그러한 방안들은 법인의 표현의 자유에 대한 제한으로 나타난다. 그리고 금전지출을 표현으로 볼 것인지의 문제는 법인의 표현의 자유에 대해서만 해당하는 것은 아니지만 법인의 표현의 자유 문제에서 자주 문제되고 있다. 이러한 쟁점들에 대해서는 우리 헌법학에서도 장차 심도있는 논의가 필요하다.
