A trust may be created in any of the following manners: a contract between the truster and the trustee, the will of the truster or declaration of the truster. And article 4 of Trust Act provides: “With respect to any property right that can be registered, the fact that the property belongs to trust property may contest against a third person by completing a registration thereof.” It means that a trust comes to exist only by a trust contract. But Art. 186 Civil Act says: “The acquisition, loss of, or any alteration in, a real right by a juristic act over an immovable takes effect upon its registration.” A comparision of Art. 4 Trust Act to Art. 186 Civil Act shows a decisive antinomy between them. Nonetheless that the nature and characteristics of the trust contract have not yet been examined properly is critical and conclusive. Therefore this study is focused on getting to the bottom of this phenomenon and figuring out its cause, especially the issues on the effect of the registration and ameliorate the legal theory on the trust through interpretation.

신탁은 ｢신탁자와 수탁자 사이의 신임관계에 기하여 신탁자가 수탁자에게 특정재산을 이전하거나 담보권의 설정 또는 그 밖의 처분을 하고 수탁자로 하여금 수익자의 이익 또는 특정의 목적을 위하여 그 재산의 관리, 처분, 운용, 개발, 그밖에 신탁 목적의 달성을 위하여 필요한 행위를 하게 하는 법률관계｣이다. 신탁목적의 달성은 필연적으로 재산권의 이전을 요구한다. 이러한 사정을 염두에 두지 않고 채권계약만으로 신탁이 유효하게 성립한다는 기존 해석은 제고되어야 한다. 다음으로 신탁의 공시는 대항효만을 가진다(｢신탁법｣ 제4조). 이는 신탁등기 없이 신탁이 유효하게 성립한다는 의미이다. 그러나 신탁등기의 대항효는 ｢부동산등기법｣의 일반원칙과 어울리지 않는다. 나아가 신탁등기가 단지 대항효만을 가진다면, 법률현실에서 신탁과 금지된 명의신탁의 구별이 사실상 어려워진다. 이는 다시 ｢신탁법｣의 기본이념을 해치게 될 것이다. 이는 장래에 신탁등기에 관한 법률규정을 다시 만져야 한다는 명제를 정당화한다. 그리고 수탁자가 단독등기를 청구할 수 있다는 ｢부동산등기법｣ 제23조 7항은 제한해석되어야 한다. 이밖에 신탁공시에 대항력이 주어진 상태에서 수익자의 취소권은 과잉보호방법이 될 염려가 있다.
