These days, derivatives-linked securities are very popular to investors because of its possibility of relative high yield while our economy is changing into a low growth and low interest rate trend. However, derivatives-linked securities are structured financial products with high risk which are linked underlying assets such as stock, commodity, credit, oil, raw materials, etc. Therefore, we can see that derivatives-linked securities are derivatives in itself. In the early, derivatives-linked securities were called by new-type bond. By the revision of Commercial Law and Capital Market Law, principal-guaranteed products were classified as debt securities and derivatives-linked bond. It means that there are less law-restriction compared to derivatives-linked securities which are non-principal-guaranteed products. Even though it is principal-guaranteed products, if the financial investment companies issued it for business not funding purpose, it should be applied to regulation in proportion to the derivatives-linked securities due to its possibility of principal loss. Furthermore, in conjunction with the issuance of the derivatives-linked securities are required legislative supplement. Regarding the calculation of fair value and disclosure, it should be reorganized in order to avoid a conflict of interest.

자치경찰제도는 2006년 제주지역에 한하여 자치경찰단이 출범한 이래로 지 지부진한 상태이다. 15년 이상이나 논의만 계속되고 도입이 지연되고 있는 이유는 예산 확보, 법제의 정비 미진 등의 많은 이유가 있으나 근본적으로는 자치경찰제도의 도입 필요성에 대한 회의 때문일 것이다. 자치경찰제도의 필요성은 자치경찰의 개념의 정립에서부터 시작되어야 한 다. 자치경찰의 개념은 ‘지방자치제도의 측면’과 ‘경찰작용의 측면’에서 고찰 되고 있는데, 각 측면에서 고찰되는 자치경찰의 개념에 대하여 연구하고 자 치경찰의 개념에 대하여 정립하도록 하였다. 자치경찰의 개념에 대한 기존 연구는 ‘지역적 한정성’, ‘통제의 주체’, ‘업무의 한정성’을 공통 징표로 하고 있는데, 각 징표가 자치경찰 개념에 있어 핵심요 소인지를 고찰하였는데, ‘지역적 한정성’은 경찰의 역사적 진화의 산물로 보 아야 하며, ‘업무의 한정성’은 정책적 업무 분장의 결과로 보아야 할 것이어 서 자치경찰의 개념의 핵심징표는 ‘통제의 주체’로 보아야 하며, 중앙정부의 통제를 받지 않는 경찰작용으로 보아야 한다. 또한 기존 연구에서 언급되던 자치경찰의 장, 단점의 경우에도 막연한 예상 을 그 근거로 하는 경우가 많았다. 장, 단점을 다시 고찰함으로써 자치경찰 개념과 상치점이 없는지 확인하도록 하였다. 이제껏 기존 연구에서는 잘못된 개념을 전제로 한 장점의 설시로서 자치경찰 의 효율성만을 강조하여 왔기 때문에 자치경찰의 도입이 지연되고 있다. 결국 막연한 근거에 기초한 효율성 강조는 국민의 공감대를 얻지 못하게 되고 오히려 자치경찰의 도입에 방해 요소가 되어 왔다. 자치경찰제도는 지방자치 제도의 일환으로 보아야 하며 그 도입은 경찰작용의 효율성을 위하여 있는 것이 아니라 진정한 의미의 풀뿌리 민주주의를 실현하기 위함일 것이다
