Unfair trading practices were the most common type of cases among the record of processed cases related to the Fair Trade Act, and among them, abuse of bargaining position were the most numerous. In general, when considering the real market as an incomplete competitive market, bargaining positions occur in most business relationships, and persons with the superior position are able leverage their position to their advantage, and thus, excessive practices of abusing their position including price and volume control can cause disputes with trading partners. Such practices of abusing bargaining position are regulated by article 23 clause 1 of the Fair Trade Act. The Subcontracting Law, the Fair Franchise Practices Act, Large-Scale Retailers` Fair Trade Practices Act, and the Authorized Retail Trade Act, which regulate abuse of bargaining position, a type of unfair trade practice, by restricting them to particular areas are in line with regulations that regulate abuse of bargaining position and shares the commonality of being elevated to a law after being established as a public notification as a special unfair trade practice. Excluding Japan, it is hard to find legislation cases comparable to abuse of bargaining position regulations, and although outwardly they are required to regulate impediments to fair order of competition, they raise issues on regulatory justification in terms of unclear boundaries with pure civil disputes. However, the government is obligated to protect and cultivate small and medium sized enterprises in accordance with the constitution, and is able to regulate and coordinate abuse of economic power. Furthermore, if abuse of bargaining power is resolved through civil methods of resolution by highlighting the principle of private autonomy, then our current litigation system has some limitations considering the fact that no Discovery System or punitive damages system is in existence. So, it is necessary to regulate abuse of bargaining position through laws related to fair trade practices. Considering the limitations and resolutions commonly shared by laws on abuse of bargaining position, it is necessary to improve the structure of failing to report illegal acts and the insufficient provision of information which occurs at the beginning stage of trade. In order to resolve the consequent side-effects of the widening gap between large enterprises and small and medium sized enterprises, administrative regulations in the area of abuse of bargaining position must be strengthened along with the provision of incentives following compliance and the supplementation of the litigation system.

최근 공정거래법 관련 사건 처리실적을 볼 때, 불공정거래행위 사건이 가장 많으며 그 중에서 거래상 지위남용 사건이 가장 많았다. 일반적으로 현실의 시장은 불완전경쟁시장이라 볼 때, 대부분의 거래관계에서 거래상 지위는 발생하고 우월적 지위를 가지는 자는 그 지위를 지렛대 삼아 자신의 이익을 추구할 수 있는바, 그 과정에서 가격이나 물량 조절 등의 과도한 지위의 남용행위는 거래상대방과 분쟁을 발생시킬 수 있다. 이러한 거래상 지위남용 행위는 공정거래법 제23조 제1항에서 규제하고 있고, 불공정거래행위의 일 유형인 거래상 지위남용을 특정 분야에 한정하여 규율하는 법률인 하도급법, 가맹사업법, 대규모유통업법, 대리점법 등은 실상 거래상 지위남용 규제와 맥을 같이 하는 규범으로, 특수불공정거래행위의 하나로서 고시로 제정되었다가 추후 법률로 승격된 공통점을 지닌다. 거래상 지위남용 규제는 일본을 제외하고 딱히 견줄만한 입법례를 찾아보기 어렵고, 외견상 공정한 경쟁질서의 저해를 규제 요건으로 하고 있지만, 순수 민사분쟁과 경계가 불분명한 영역이 있어 규제 정당성에 관한 문제가 제기된다. 그러나 국가는 헌법에 의거하여 중소기업을 보호‧육성해야하는 의무가 있고, 경제력의 남용에 관한 규제와 조정을 할 수 있다. 또한 사적자치의 원칙을 강조하여 거래상 지위남용을 민사적 해결수단으로 해결해야 한다면, 현재 우리의 소송시스템에는 Discovery제도, 징벌적‧집단손해배상제도 등이 마련되어 있지 않는 점 등을 고려할 때 한계가 있어 공정거래관련 법률을 통한 규제가 필요하다 할 것이다. 거래상 지위남용 법률들이 공통적으로 가지는 문제점과 해결방안을 고찰해볼 때, 우선적으로 거래 개시단계에서 발생하는 정보제공의 불충분과 위법행위 발생 시 이를 신고하지 못하는 구조의 개선이 필요하다. 대기업과 중소기업의 격차가 계속 벌어지는 상황에서 이에 따른 부작용을 해결하기 위해서는 거래상 지위남용 부분의 행정적 규제 강화와 규제 준수에 따른 인센티브의 제공 및 소송시스템의 보완이 같이 이루어져야 할 것이다.
