This study is intended to examine the central way of transfer for security system, and the legislation in China. Study on the transfer for security system of China, has been developed due to the rapid market economy. However, in China, because the theoretical basis for the transfer for security system has not been fully equipped, normative is insufficient in practice, it has been greatly limited its use range. Features of the transfer collateral is to reach the purpose of the loan collateral by transferring the property to become an object of the collateral. Led to today, transfer collateral system is compared with the typical collateral, it plays a special role. This paper, the transfer of China an object of the present invention is to clarify the collateral system. In addition, through this paper, by looking at the discussion of transfer for security to the China Civil Code compilation process, and expand trade with China, in our reality that a growing number of companies entering China, China of collateral through the understanding of the system, another way of financing in China it is possible to develop, by taking measures to know the problems with respect to this, it is possible to reduce the risk of investment in China if an opportunity.

본 연구는 중국의 양도담보 제도의 본연의 자세 및 입법화를 중심으로 고찰하는 것이다. 중국 양도담보 제도에 관한 연구는 급격한 시장 경제 화에 따라 발전해왔다. 그러나 중국에서 양도담보 제도에 관한 이론적 기초는 구비되어 있지 않기 때문에, 실무상의 규범성이 부족하고, 그 이용 범위도 매우 제한되어있다. 양도담보의 특징은 담보의 목적이 되는 재산을 이전함으로써 채권 담보의 목적을 달성하는 것이다. 오늘에는 양도 담보제도가 전형적인 담보 물권에 비해 특별한 역할을 하고 있다. 본고는 중국의 양도담보 제도를 명확히 하는 것을 목적으로 한다. 또한 본 논문을 통해서 중국 민법전 편찬 과정에 양도담보에 대한 논의를 살펴봄으로써 중국과의 교역이 확대되고 중국으로 진출하는 기업들이 많아지는 우리의 현실에서 중국의 담보제도에 대한 이해를 통해서 중국에서의 자금의 융통에 대한 또 다른 방법을 개척할 수 있고, 이에 대한 문제점을 알고 대책을 강구함으로써 중국 투자에 대한 위험부담을 줄일 수 있는 계기가 되었으면 한다.
