The purpose of this paper is to study the development of capitalism with Chinese characteristics and corporate governance i.e. the core of a modern capitalist economy. In this paper, the socialist market economy with Chinese characteristics is defined as a capitalist economy, and Chinese corporate governance is to be approached in the view point of global standards. To meet this objective, the future of Chinese capitalism is to be examined through the changes of the past and the present since the establishment of PRC(People's Republic of China). Firstly, the great transition of China is to be analyzed briefly. Secondly, what is corporate governance which has become the core of a capitalist economy and why is it important? Finally, the development and problems of Chinese corporate governance are to be discussed.

본 논문은 중국특색의 자본주의 발전과정과 현대자본주의 경제의 핵심인 기업지배구조의 궤적을 고찰하는 데 그 목적이 있다. 본인은 본고에서 중국특색의 사회주의 시장경제를 자본주의 경제로 규정하고, 글로벌 스탠다드 관점에서 중국의 기업지배구조에 접근하게 될 것이다. 이 목적에 부합하기 위해서, 신중국 건국 이후 벌어진 과거와 현재의 일련의 변화를 통해 내일의 중국 자본주의를 살펴보고자 한다. 첫째, 중국의 대전환기를 간략하게 분석하고, 둘째, 자본주의 경제의 핵심으로 등장한 기업지배구조가 무엇이며, 왜 중요한가를 논하게 될 것이다. 끝으로 중국의 기업지배구조 발전과 문제점을 논해 보고자 한다.
