As indicating the signature of Korea and China Free Trade Agreement (KCFTA) on June 1, 2015, this article concerns some issues and their prospects of investment rules in the KCFTA. Advancing the following three questions on the investment rules, it empirically analyse the rules incorporated in Chinese preferential trade and investment agreements (PTIAs) using Chinese bilateral investment treaties (BITs) practice and the international PTIA practice: First, how we can evaluate investment rules in the KCFTA in terms of the relationship between Chinese PTIAs and BITs?; Second, what is the rationale and significance of including investment rules in the KCFTA instead of pursuing a standalone BIT?; Third, considering so far China’s practice of just recognizing pre-establishment MFN clause, what is the prospect for introducing pre-establishment national treatment clause to the KCFTA in the follow-up negotiations. At the same time, it examines the KCFTA’s investment rules in terms of several critical factors of modern investment rules such as market access, non-discrimination, standard of treatment, transparency requirements, non-trade issues such as environment or human rights, dispute settlement, in order to have a more vivid picture. Finally, the conclusion summarizes the observations made in the article, suggesting that the impact of the KCFTC would be in line with the 2012 KoreaㆍChinaㆍJapan Trilateral Investment Agreement or 2007 Korea and China BIT.

본고는 2015년 6월 공식 서명된 한국-중국 FTA 투자챕터 (‘한중투자챕터’)의 주요 구성요소의 시대적 변천과 전반적 평가를 다루었다. 주요 구성요소는 현대 투자법에서 중요한 시장접근, 비차별의무, 대우의 기준, 투명성 요건, 환경 등의 비경제적 요인, 분쟁해결제도와 같은 7개 요소에 대해 비교법적으로 그 추이를 다루었고 그를 위하여 1980년대 이후 중국이 체결한 양자간 투자협정(BIT)의 변화 추이와 특혜무역협정내의 투자협정 (PTIA)과의 관계 및 위에 언급한 7개 요소의 도입 과정을 비교하였다. 전반적 평가는 ➀ 중국이 시기별로 체결한 BITs와 그에 상응하는 PTIAs의 관계에서 볼 때 한중투자챕터를 어떻게 평가할 수 있는가? ➁ 단일의 BIT가 아닌 특혜무역협정내의 투자챕터의 체계적 의의는 무엇이며 그 맥락에서 한중투자챕터를 어떻게 평가할 수 있는가? ➂ 향후 한중FTA 추가협상에서 다루기로 설립전투자에 관한 내국민대우 인정 전망은 어떠한가? 등의 3가지 문제의식을 염두에 두고 결론으로 제시하였다.
