The financial institution’ duty to explain in OTC Derivatives transactionsis transactional subordinate duty of cares as the duty to provide customersreasonable information about financial commodity. Recently, there are manycases to ask for liability by breach of the duty to explain in OTC Derivatives transactions in many countries. For this reason, there is a need for effective control over legal risk in the way that investors claim for the breach of duty to explain in OTC Derivatives transactions complicated by nature. This is because there might be waste of time and economical cost not stopping consumptive argument on that issue without clear arrangement on the duty to explain. The effectiveness of the regulation of duty to explain in OTC Derivativestransactions is not appraised by the type of regulation or the level of regulation but appraised by customer’ level and experience. The best effectiveness can be made when the idea of customer protection and the financial market’ autonomy are harmonious.

본 연구는 장외파생상품거래에서 금융기관에게 부여된 자본시장과 금융투자업에관한 법률 제47조상의 설명의무에 대한 이론적 고찰과 그 구체적 적용을 통한 개선과제의 탐구를 목적으로 한다. 기본적으로 금융거래에서 고객이 계약에 편입될 때 고객은 해당 계약의 내용을 충분히 인지하였음을 전제로 하게 되는데 상품의 제조, 판매자인 금융기관에 비해 상대적으로 정보가 부족한 고객에게 금융기관의 설명은 계약의 편입을 결정하는 중요한 요소가 된다 할 것이다. 설명의무의 실효성 확보 방안과 관련하여 아무리 법상 규제기준과 수단이 정비되었다 하여도 이를 이행하는 과정에 문제가 있다면 투자자 피해 문제는 얼마든지 발생할 수 있는바, 자율규제기관인 금융투자협회의 역할증대와 기능강화를 통해 시장변화에 능동적이고 신속하게 대응할 필요가 있다. 또한 투자자 손실과 피해발생을 사전적으로 제어하기 위한 금융감독기관의 역할제고가 필요하다. 장외파생상품 거래를 비롯한 금융상품거래에 있어 설명의무 규제에 대한 우리나라의 자본시장법을 비롯한 각국의 규제내용이나 방향은 대체로 비슷하게 수렴되는 경향을 보이고 있다. 이것은 투자자보호의 수준이 국제적 정합성을 띄는 양상으로 가고 있는 것으로 바람직한 현상이라고 봐야 할 것이다. 우리 자본시장법상 규제의 수준도 외국의 법제와 비교해 보아도 크게 부족함이 없는 규제수준을 갖추었다고 볼 수 있는데 다만 설명의무 규제의 실효성을 확보하는 노력은 계속되어야 할 것이다.
