1991, China legislated their unique representative of action group, refered to American class action and Japanese representative action experiences. But representative of action group is strict in starting a suit. So, that constrains the application. And procedure of registration of a right's rule decreases the efficiency. And there are many problems: constraint about representative litigation to apply, constraint about representative's right etc. With securities market's development, securities-related causes are rapidly increase. But current representative of action group is disregarding pratical affair, that can’t perform the duty. First model action maybe secure practicality because now Chinese judiciary is conducting state accordingly with that. Therefore, from a materialization of Chinese practical affair about securities-related cause direction, I will suggest systemic improvement plans about current Chinese class action.

중국은 1991년 미국의 대표당사자소송과 일본의 선정당사자제도의 경험을 참조하여 중국 특유 의 집단소송제도인 대표자소송제도를 제정하였다. 하지만 대표자소송은 소송제기가 엄격하여 그 적용을 제한하고 권리등기절차의 규정은 제도의 절차적 효율성을 낮추게 되었으며 대표자소 송에 대한 제한이 많아 그 적용이 어려고 대표자의 권리에 대한 제한이 너무 많은 등 문제점이 존재한다. 증권시장의 발전과 더불어 증권관련 소송사건이 급속히 늘어날 것인데 현재의 대표자소송제도 는 실무에서 외면한 결과 그 본연의 임무를 다하고 있지 못하다. 무엇보다 시범소송제도는 현재 중국 사법부가 현행 법규를 뛰어넘어 운영하고 있는 실정에 부합하여 그 실현가능성을 확보할 수 있을 것으로 판단된다. 따라서 증권관련소송에 대한 중국의 실무를 구체화하는 방향에서 현 행 중국의 집단소송에 대한 제도개선방안을 제시하고자 한다.

1991年中国借鉴美国的集团诉讼和日本的选定当时人制度制定了中国特色的代表人诉讼制度.但是代表人诉讼由于立法及制度设计上的缺陷, 如当事人登记制度, 代表人权限和搭便车等问题实际上让这个制度在司法实践中被搁置不用. 随着我国证券市场的不断发展, 证券群体诉讼也会不断增加. 以我国现有的代表人诉讼体, 已经很难保护“小额多数”的投资者. 本文对中国代表人诉讼制度的局限性进行分析后, 对我国如何构建在司法程序上实际运用的示范诉讼问题提出了具体意见.
