Since financial liberalization in the 1980’s, competition in the banking industry has intensified and many financial institutions have expanded their business into various areas along with the global trend of universal banking in order to find new profit sources. As financial institutions pursue economies of scale and universal banking, they may face challenges such as the concentration of economic power, conflicts of interest and increasing system risks. But such attempts are effective measures to enhance the competitiveness of domestic financial industries. To support the enlargement and globalization of financial institutions, Japan amended the Financial Instruments and Exchange Act in 2008. It revised the firewall regulations for financial groups and expanded the scope of work for banks and insurance companies while requiring banks, securities firms and insurance companies to organize a system to manage conflicts of interest in accordance with the law for each industry. This study examined the status of Japanese financial holding companies and the revision of related laws and explored their implications in relation to the issues of Korean financial holding companies and related laws.

1980년대 들어 금융자유화가 이루어지면서 동종 금융기관 간 경쟁이 심화되자 새로운 수익원 발굴을 위해 이종 금융기관의 업무영역으로 상호진출이 활발히 진행되면서 금융겸업화가 세계적인 추세로 진전되고 있다. 금융기 관의 대형화․겸업화는 경제력 집중, 이해관계의 충돌, 시스템리스크 증가 등의 부작용을 초래할 염려가 있지만 자 국 금융 산업의 경쟁력을 확보하기 위해서 유용한 수단이 되고 있다. 일본에서는 2008년 금융상품거래법개정에서 금융사업자에 있어서 그룹화나 국경을 넘는 금융그룹의 업무전개가 진행되는 가운데, 금융그룹에서의 차단벽(fire-wall)규제를 재검토하고 은행․보험회사그룹의 업무범위를 확대하는 반면, 증권회사․은행․보험회사 등 각 업 법에서 이해상충 관리체제를 정비하도록 의무화하였다. 본고에서는 최근의 일본 금융지주회사를 둘러싼 현황과 일련의 법 개정의 내용을 소개하고, 금융지주회사에 관해 논의되는 과제에 대한 새로운 의의가 무엇인지 검토하여 우리 법에 대한 시사점을 얻도록 한다.
