표준개발과 관련된 경쟁제한 약정에 대한 공동행위 규정의 적용과 위법성 판단

The Illegality of Ancillary Restraints Involving Standard Developing Collaborations

Standard-setting organizations (SSOs) mean the private collaboration institute, which collaboratively try to find and select uniform technical standards for goods and services. In recent economy, those SSOs play a critical important role to lead some industries. The efficient technology standard could demand-side economies of scale, and encourages product innovation by reducing the risks of future research and development efforts. However, in a standardization process, competitors within SSOs work together to select particular technologies as industry standards. Such process could promote the opportunity to agree with price-fixing among competitors and be used as a tool to avoid antitrust liability for price fixing. Because of SSOs’ complex inheritance, the work to determine their illegality should be performed with careful methods and appropriate legal standards. However, in Korea, the requirements of illegal collaboration under antitrust law have not settled yet because since the Supreme Court’s inappropriate decision was made in 2002, those decisions following the wrong judgments have not been overturned yet with a regular en banc decision. In particular, competition agency and courts have focused on the defining relevant market and calculating market share of participants in collaborations in most of cases. Those incorrect judgments cannot distinguish reasonable ancillary restraints which is reasonably necessary to achieve the efficient purpose of the standard cooperation among competitors. This article will review several cases related to the issues of standardization, which could need to be per se illegal or determined as rule of reason analysis. Specially, we will check the desirable analysis processes for the practices including the agreements setting substitute patents into the essential technology group to perform the standard, the ex-ante negotiations on license terms and the most restrictive restrictions, and non-assertion clauses. We will find that the goals of antitrust enforcement would be best served by allowing those correct analysis methods to be applied to the complex standardization collaborations.

시장 참가자들이 유사 기술 중 가장 효율성이 높은 기술을 선택하여 임의로 표준으로 지정하는 표준개발 공동행위는 그 효율성이 높아 각국의 경쟁당국은 일반적으로 ‘합리적 목적 달성을 위한 공동행위’의 유형으로 인정하고 있다. 그러나 다른 한편으로는 표준개발은 경쟁자들이 민감한 영업정보를 공유할 가능성이 높고, 기관 내부 참가자들의 영업방식을 제한하는 사항이 많아서 가격 답합 등의 당연위법행위로 변질될 가능성도 대단히 높다. 따라서 표준개발의 합리적 목적 달성을 위한 행위를 적극적으로 허용함과 동시에 기관 내부의 의사결정, 참여방식, 외부 참가자에 대한 기술실시 허락 등에서는 경쟁을 제한하는 합의가 존재하지 않도록 효율적으로 경쟁법을 집행할 필요가 있다. 특히, 충분한 효율성을 유지하면서도 단순히 표준개발을 가장한 경쟁제한 행위를 명확히 구별할 필요가 있다. 다만, 이를 위해서는 공동행위에 대한 위법성 평가방법이 명확하고 확고하여야 하나 현재 한국의 공동행위에 대한 규제는 그 위법성 판단이 선진각국의 실무와 상당히 동떨어진 방향으로 진행되고 있어 상당한 문제를 야기할 수 있다. 이 논문은 이와 같은 관점에서 표준개발 공동행위에 부속하는 권리불행사조항, 표준개발 기만행위 배척약정, 개량기술이전조항, 기술실시조건 사건협정 등에 대한 위법성 여부와 합법성을 인정하기 위한 조건을 한국의 공동행위규정의 문제점과 함께 검토하는 것을 내용으로 한다.
