This study is intended to examine the law for unfair competition prevention and operation secret protection which is a basic law for drain prevention of Korean industrial secret, and the law for drain prevention and protection of industrial technology and to suggest limitations and improvement methods of both laws. The law for unfair competition prevention and operation secret protection is a law where civil relief for operation secret protection in the level of unfair competition prevention is a core, and the punishment provisions of Article 18 define revenue amounts in property as calculation criteria of punishment amounts as well as definition of claim of invasion behavior prohibition, claim of damage and claim of credit recovery. Actually since damage due to invasion of industrial secret is realized economic value, vagueness in calculation of punishment amounts increases. It is likely that criminal punishment provisions of the same law will end up a mere scrap of paper for the reason. In addition, as law for drain prevention and protection of industrial technology in a strong national level for protection of industrial technology is legislated, this is time that clear relationship definition is needed in law application between both laws due to scarcity of relation definition with the law for unfair competition prevention and operation secret protection. For the purpose, modification of the criminal punishment provision of the law for unfair competition prevention and operation secret protection where civil relief is a core is needed. For the reason, it can be likely expected to efficient application of the law for unfair competition prevention and operation secret protection where civil relief becomes a core for drain prevention of industrial technology and the law for drain prevention and protection of industrial technology that defines a strong criminal restriction. The next example includes problems of the provisions of Article 11 of the law regarding drain prevention of industrial technology that is derived from the example of SSangyong Automobile. Article 11 of the same law specifies that approval by the Minister of Knowledge and Economy is required when an object organization that holds a national core technology developed with support of R&D expense from a nation desires to export the relevant national core technology in methods of sale or transfer, etc to foreign corporations, etc. Urgent measures must be prepared since the same law does not specify the provisions against industrial drain following foreign acquisition and merge as shown in the example of SSangyong Automobile.

본 연구는 국내 산업기밀유출 방지를 위한 기초법률인 부정경쟁방지 및 영업비밀보호에 관한 법률과 산업기술의 유출방지 및 보호에 관한 법률을 살펴보고 양 법률이 지니는 한계점과 개선방안을 제시하고자 하였다. 부정경쟁방지 및 영업비밀보호에 관한 법률은 부정경쟁방지 차원에서의 영업비밀보호를 위한민사적 구제가 중심이 된 법률로서 침해행위 금지청구권, 손해배상청구권, 신용회복청구원등을 규정함과 더불어 제18조 벌칙규정에서 벌금액 산정기준으로서 재산상 이득액을 규정하고 있다. 현실적으로 산업기밀유출의 피해는 현실화된 경제적 가치가 아니기 때문에 벌금액 산정에 모호성이 문제점으로 지적되고 있다. 이로 인한 동법의 형사처벌 규정은 사문화 될 가능성 또한 적지 않다. 또한 산업기술보호를 위한 강력한 국가적 차원에서의 개입을 위해 산업기술의 유출방지 및 보호에 관한 법률이 제정되면서 기존 부정경쟁방지 및 영업비밀보호에 관한 법률과의 관계규정 미비로 양 법률 사이의 명확한 관계규정이 필요한 시점이다. 이를 위해서 민사적 구제가 중심이 된부정경쟁방지 및 영업비밀보호에 관한 법률의 형사처벌 규정에 대한 수정이 필요하다. 이로 인해 민사적 구제가 중심이 된 부정경쟁방지 및 영업비밀보호에 관한 법률과 강력한 형사적 제재를 규정한 산업기술의 유출방지 및 보호에 관한 법률의 효율적인 적용을 기대할 수 있을 것이다. 다음으로 쌍용자동차 사례에서 도출된 산업기술의 유출방지 및 보호에 관한 법률의 제11조 규정의 문제점을 들 수 있다. 동법 제11조에는 국가로부터 연구개발비를 지원받아 개발한 국가핵심 기술을 보유한 대상기관이 해당 국가핵심기술을 외국기업 등에 매각 또는 이전 등의 방법으로 수출하고자 하는 경우에는 지식경제부장관의 승인을 요한다고 규정하고 있다. 쌍용자동차 사례와 같이 해외인수 및 합병 등에 따른 산업유출이 있는 경우 이에 대한 규정이 동법에는 규정되어 있지 않아 시급한 대책마련이 필요하다. 또한 해외 인수․인수 합병에 대한 국가개입은 국제규약 및 FTA와 상충될 우려가 있기 때문에 규정의 개정에 앞서 신중한 검토가 필요하다.
