This Paper reviews the Article 1 of The Korean Financial Investment Services and Capital Market Act. As the purpose clause the Article 1 is as follows. “The purpose of this Act is to contribute to the development of the national economy by enhancing the fairness, integrity, and efficiency of the capital market by promoting financial innovation and fair competition in the capital market, protecting investors, and facilitating financial investment services in a sound manner.” The author emphasize the importance of a purpose clause that cannot be found in the Anglo-American law. Because a purpose clause works as a basis that complement both the deficiency and inconsistency of the law, the purpose clause should be made clearly to express an intent of the legislator. Although the Article 1 of the Korean Financial Investment Services and Capital Market Act stipulate equally financial innovation and fair competition in the capital market, protecting investors, and facilitating financial investment services in a sound manner, the main purpose of the Article 1 should be placed on protecting investors.

법의 목적을 규정한 조항은 법의 흠결, 조문간의 충돌과 모순이 발생하는 경우에 이를 해 결할 수 있는 근거가 되는 중요한 조항이다. 왜냐하면 어떤 법이든지 관련된 모든 규범을 완벽히 입법화 하는 것은 현실적으로 불가능하기 때문이다. 또한 비효율적이라고도 볼 수 있다. 따라서 법 제1조는 포괄적이기는 하지만 해당법의 입법정신이 분명하게 나타날 수 있도록 다른 어떤 조항보다도 명확하게 규정되어야 한다. 본 글에서는 2009년 2월부터 시행된 자본시장과 금융투자업에 관한 법률 에서 법의 목적 을 규정하고 있는 제1조를 살펴보았다. 이를 위하여 법의 성립과정, 규율의 특색 등을 설명 하고, 제1조에 대한 분석 평가를 하였다. 자본시장법 제1조가 문언 형식상 외견적으로는 ①{ ‘자본시장에서의 금융혁신과 공정한 경쟁 촉진’, ②{‘투자자의 보호’, ③{‘금융투자업의 건전한 육성’이라는 세 가지 목표를 대등하게 규정한 것으로 볼 수 있으나, 투자자보호를 자본시장 법의 가장 주된 목적으로 파악하여야 한다는 것을 강조하였다. 또한 자본시장법이 제1조에 서 업법으로서의 성격을 강조한 것은 바람직하지 않다고 지적하였다.
