The Financial Holding Companies Act provided that any person who intends to run a financial holding company and owns more financial assets than those determined by Presidential Decree, shall obtain authorization thereof from the Financial Services Commission. Therefore, no obstacle to establishment of and conversion into a Insurance holding company in Korea. But the Financial Holding Companies Act focused on the bank holding company based on the “separation of banking and commerce" policy and never established insurance holding company since financial holding company act legislated in 2000. On the behalf of insurance industry, specially complain that insurance holding company excess regulated as a bank holding company in spite of the system risk and business capital source of Insurance industries differ from bank. The amend by Act No.9788, Jul.31, 2009. consider the specific feature of insurance holding company and deregulate the separation of banking and commerce principle. But some concerned in insurance industry not satisfied with this time amendment, specially concerning the subsidiary and business related sub-subsidiary. They ask future amendment. Whether acceptance or not is depend on the political decision.

2009년 7월 31일 개정 금융지주회사법의 주요한 개정목표의 하나는 보험지주회사 설립이 현실적으로 가능하도록 보험지주회사에 대한 몇 가지 법적 문제를 명확히 하는 것이었다. 그러나 이번 개정에도 불구하고 보험사들은 보험지주회사 설립을 하기 어려운 실정이라고 주장하고 있다. 지금과 같이 은행지주회사가 중심이 될 것이라는 것이다. 본고는 이와 같이 주장하는 이유와 앞으로의 입법과정에서 고려되어야 할 점이 무엇인지를 살펴 본 것이다. 현실적으로 국내 보험사 가운데 보험지주회사설립 여부가 큰 관심을 끌고 있는 삼성의 경우, 손자회사의 사업 분야를 제한하는 것에 여전히 불만을 느끼고 있는 것으로 보인다. 이와 같은 보험사들의 요구를 수용할 것인지는 정책적 판단의 문제이다.
