A number of companies are considering for merger and acquisition (M&A) as one of business strat-egies for their growth and survival. However, many of them do not create the synergy they had sought, and failed M&As often result in negative outcomes in terms of productivity, market share, profitability and turnover of qualified employees. There have been numerous research studies con-ducted to analyze the factors that determine the success and failure of M&A, and it has been found that with the increasing dependence of many companies on information systems, post-M&A IS (information systems) integration success has a critical effect on the success of M&A. However, there have been very few studies on post-M&A IS integration success, and most have been restricted to in-tegration of IS organizations or physical information systems. In order to conduct a comprehensive re-search on the factors that affect the success of post-M&A IS integration, this study surveyed preceding researches on not only information systems but also strategic management, economics, finance, HRM (human resource management) and organization management. Based on the findings, a comprehensive and integrated model of the influential factors on post-M&A IS integration has been proposed. The proposed model categorizes the factors into perspectives of M&A, strategy, organization, HRM and IS, and provides an empirical evaluation of each factor on the success of IS integration based on com-parative case studies.

수 많은 기업들이 기업 성장 및 생존 전략의 일환으로 인수․합병(M&A, merger and acquisition)을 선택하고 있다. 그러나 상당수의 기업들이 본래 의도했던 시너지 효과를 창출하지 못하고 인수․합병 실패로 인해 생산성 저하, 시장 점유율 하락, 수익 감소, 유능한 직원의 이직 등 많은 부작용을 경험하고 있다. 이에 따라 인수․합병 성공 및 실패 원인을 분석하고자 하는 많은 연구가 진행되었고, 정보시스템에 대한 기업들의 의존도 증가와 더불어 인수․합병 이후 정보시스템 통합(post-M&A information systems integration)이 인수․합병 성공에 결정적인 영향을 미치는 것으로 확인되었다. 그러나 인수․합병 이후 정보시스템 통합 성공에 대한 연구가 매우 부족하며, 대부분의 선행연구가 정보시스템 조직 통합 또는 물리적인 정보시스템의 통합 등과 같이 단편적으로 이루어져 왔다. 본 연구에서는 인수․합병 이후 정보시스템 통합 성공에 영향을 미치는 요인들에 대한 포괄적인 연구를 위하여 정보시스템뿐만 아니라 전략 경영, 경제학, 재무학, 인사관리, 조직관리 분야의 선행연구를 조사하였다. 이를 기반으로 인수․합병 이후 정보시스템 통합 영향요인에 대한 통합 모델을 제시하였다. 제시된 모형에서는 영향요인들을 인수․합병 관점, 전략 관점, 조직 관점, 인사관리 관점, 정보시스템 관점으로 재 분류하고, 사례연구를 통하여 각 요인들이 정보시스템 통합 성공에 미치는 영향을 실증적으로 검증하였다.
