하림그룹(이하 하림)은 국내 최초로 곡물 유통 사업에 진출하였으며 계열사인 팬오션(Pan Ocean)은 한국의 곡물수송 최대 선사로 안정적인 곡식 조달에 기여하고 있다. 팬오션은 곡물, 석탄, 펄프, 철광석 등의 화물을 운송하는국내 최대의 벌크(Bulk) 전문 선사이며 매출기준으로 국내 2위의 대형 해운회사이다. 팬오션은 카길(Cargill)과 같이 소수 글로벌 기업이 장악하는 세계 곡식 시장과 운송망에 국적선사로 참여하여 해운업계 최초로 해외 곡물 터미널사업에도 진출하여 안정적인 물류 활동과 공급망 연계로 곡물 보국에 앞장서고 있다. 팬오션은 과거 2번의 기업 회생 절차를 견디어내고 3번의 주인이 변경되며 파산 위기까지 직면했었으나, 하림에 인수된 이후에는 성장세를 보여왔다. 쌀을 제외한 주요 곡물을 수입하는 우리나라는 곡물 자급률 및 식량 자급자족도가 낮으며 최근 러시아의 우크라이나 침공 사태, 생산지의 이상기후 변화, 투기적 수요 증가와 코로나19 악재까지 가중되고 있다. 이 시점에서 글로벌 곡물 공급망 관리가 국가적, 산업적 차원의 핵심으로 부각되면서 사료, 가축, 식품을 둘러싼 다양한 원료의 안정적인 조달이 경쟁적이고 시급한 상황이 되고 있다. 이러한 배경 아래에 본 연구는 하림의 팬오션 인수를 중심으로인수과정, 통합, 인수후성과를 살펴보며, 하림의 해운업 진출을 통한 경쟁력 확보 방안 모색과 인수 후의 위험과 갈등을 다루는 것을 목적으로 한다.
Harim Group (hereafter Harim) entered the grain distribution business for the first time in South Korea. As Korea's largest grain transportation shipping company, Pan Ocean which became Harim's affiliate recently contributed to stable grain procurement. Pan Ocean was the largest domestic bulk shipping company that transported cargoes such as grain, coal, pulp, and iron ore and was the second largest in sales. Moreover, Pan Ocean has been competing in the global grain market and transportation network, dominated by a handful of global companies, such as Cargill. Pan Ocean had endured corporate rehabilitation procedures twice and even faced bankruptcy while the owner changed three times. However, after being acquired by Harim, Pan Ocean has shown sharp growth. South Korea, which imports major grains besides rice, has a low grain and food self-sufficiency. Besides, the recent Russian invasion of Ukraine, abnormal climate change in production areas, increased speculators, and COVID-19 are exacerbating the difficulties of grain procurement. Stable grain security will become as important as national defense security. In this way, as global grain supply chain management has emerged as a key point at the national and industrial levels, the situation for a stable procurement of various ingredients surrounding feed, livestock, and food is becoming competitive and urgent. Under this backdrop, the purpose of this study is to investigate the acquisition process, integration, and performance, focusing on Harim's Pan Ocean acquisition while dealing with Harim's search for ways to secure competitiveness through expansion into the shipping industry and the risks and conflicts after acquisition.
