민법에서는 고의와 과실의 경계를 구분하기 위한 노력이나 고의의 개념을 정립하기 위한 구체적인 논의를 발견하기 어렵다. 손해배상책임의 요건인 고의를 설명함에 있어서 대부분 형법에서 논의된 고의 개념을 그대로 차용하면서 고의는 미필적 고의를 포함한다고 설명하고 있을 뿐 차이를 두지 않고 있다. 이러한 태도는 상법의 영역에서도 크게 다르지 않다. 고의는 법 영역별로 서로 다른 기능을 수행하며 다양한 해석의 가능성이 존재한다. 형법상 고의에 미필적 고의가 포함된다고 하여 상법상 보험자의 면책사유인 고의에 미필적 고의가 당연히 포함되는 것으로 단정하는 것은 면책사유의 기능과 근거를 고려할 때 재고의 여지가 있다. 보험계약에서 면책사유인 고의는 보험으로 담보하는 위험이 발생한 경우에도 보험자의 책임을 면제하는 기능을 수행하는 점에서 범죄행위 또는 위법행위에 대한 책임의 근거로 기능하는 형법 또는 민법상의 고의와는 기능과 근거에 차이점이 있기 때문이다. 전문인책임배상보험의 면책약관을 최초로 작성한 미국과 이를 도입한 영국이 형법이나 불법행위법의 고의 개념을 차용하지 않고 보험의 기능을 고려하여 면책적 고의에 대한 다양한 접근을 통하여 손해에 대한 의도적 또는 확실한 고의의 의미로 파악하고 있는 점에 주목할 필요가 있다. 임원배상책임보험은 임원들이 원활하게 경영활동을 할 수 있도록 보장하는 한편, 피해자에 대한 보호기능을 수행하도록 마련된 것이라는 점을 고려하면 면책사유인 고의의 범위를 제한적으로 해석하는 것이 바람직하다. 한편, 약관의 내용이 불분명한 경우 보험계약자에게 유리하게 해석하는 것이 약관해석의 원칙에 부합하므로 위와 다른 해석의 가능성이 제시된다고 하더라도 면책조항의 의미와 범위에 대한 다양한 해석의 가능성이 존재하는 것 자체만으로도 해당 약관이 불명하다는 것이 이미 확인된 것이므로, 약관상의 면책사유의 의미는 명시적 설명을 둔 경우가 아니면 제한적으로 해석하여야 할 것이다. 그렇다면 보험약관상 면책사유인 고의는 손해의 결과를 인식하고 용인한 것으로는 부족하고 그 결과를 실현시키려는 의도로 해석하는 것이 타당하다.
In the Civil Code, it is difficult to find concrete discussions to establish the concept of intention or effort to distinguish the boundary between intentional and negligence. In explaining intentionality, which is a requirement for liability for damages, most of them borrow the concept of willfulness discussed in the Criminal Act as it is, and explain that intentional intention includes willful negligence. This attitude is not much different in the realm of commercial law. There is a possibility that intentional intent can be interpreted in various ways in each area of law. In the criminal law area, willful negligence falls within the scope of intention. The reason for this is that intention, which is a reason for exemption from insurance contracts, functions to exempt the insurer from liability in the event of an insurance accident, whereas intention under criminal or civil law functions as a basis for liability for criminal or illegal acts. The United States, which first drafted the disclaimer of professional liability insurance, and the United Kingdom, which introduced it, did not borrow the concept of intentional or tortious acts of criminal law or tort law, but considered the function of insurance and took various approaches to indemnification intentionally or clearly for damage. It is worth paying attention to the fact that it is understood as intentional. Considering that executive liability insurance is designed to ensure that executives can smoothly conduct business activities and to protect victims, it is desirable to interpret the scope of intention, which is the reason for immunity, in a limited way. On the other hand, if the contents of the terms and conditions are unclear, interpretation in the policyholder's favor is consistent with the principle of interpretation of the terms and conditions. Since it has already been confirmed that the terms and conditions are unclear, the meaning of the reason for exemption in the terms and conditions should be interpreted limitedly unless there is an explicit explanation. In this case, In the insurance contract, intention as a reason for exemption is not enough to recognize and tolerate the consequences of damage, and it is reasonable to interpret it as an intention to realize the consequences.
