유럽공통매매법안(CESL)은 물품과 서비스 그리고 디지털 콘텐츠의 상거래를 지원하기 위해 EU 회원국 간 국내법에 보충하거나 채택할 수 있도록 성안되었다. 본 고는 CESL의 계약의 성립에 관한 규정을 중심으로 국제물품매매계약에 관한 UN 협약(CISG)과의 비교를 통해 법적 기준을 추론하여 학제 간 그리고 실무계에 올바른 이해를 제공하려는데 목적을 두었다. CISG에 비해 CESL은 당사자 의무 및 불이행의 법적 기준을 보다 구체적이고도 광범위하게 다루고 있다. 요컨대 이들 법안은 그 구성면에서 대칭적 편제로 체계화하고 있다는 공통점이 있으나 양자를 비교할 때 가장 큰 차이점은 CESL은 법계 간 타협에 의해 성안된 결과로서 CISG가 보유하고 있지 않은 의사표시 하자, 계약의 현저한 불균형 또는 불공정성, 표준약관에 대한 법적 불확실성, 소유권ㆍ담보권 이전에 관한 효과와 유효성 및 서비스와 디지털 콘텐츠 등에 관한 계약 등의 법적 기준을 다루고 있다는 점이다. 규정체계 전반을 고려할 때 CESL와 CISG 입법체계 내지 조문내용 차이는 매우 미미하다. 그럼에도 역내 법원이 국제사법의 규칙에 따라 CISG에 의해 해결할 수 없는 사항에 적용할 수 있는 여지가 다분하다는 시각에서 CESL 법적 지위를 엿볼 수 있다. 이러한 사실은 역내 상거래에 있어 CISG보다 CESL을 선택하는 것이 계약당사자에게는 유리할 것임을 시사한다. 요컨대 CISG에 대한 CESL의 보충적 역할에 기하여 특별히 표준약관ㆍ서식의 교전ㆍ이행유보권 등에 대한 CESL의 법리적 접근은 CISG 법적 기준을 명확히 하고 또 실무적용상 법적 안정성 내지 합목적성을 제고할 수 있다는 시각에서 그 효용성을 부각할 수 있다.
The CESL is designed to be selectively supplemented or adopted by the domestic laws between EU member states in order to promote the free trade of digital content as well as the sale of goods and services in the region. Compared to the CISG, the CESL deals more specifically and broadly with the legal standards of party obligations and non-performance. In summary, CISG and CESL have a common feature that their compositional system is symmetrical, but the biggest difference is that CESL has flaws in its intentions, marked imbalance or unfairness in contracts, legal uncertainty about standard terms and conditions, legal effects on transfer of ownership and security rights, and validity of contracts, service contracts, and contracts related to digital content. Considering the overall regulatory system, the difference between the CESL and CISG legislative systems or articles is very insignificant. Nevertheless, the legal status of CESL can be seen from the point of view that courts of each country can apply CESL to issues that cannot be resolved by CISG according to the rules of private international law. This suggests that CESL plays a gap-filling role in terms of enhancing legal stability or foreseeability.
