한국은 2016년 상법개정안에서 지배(모)회사의 주주보호를 위하여 이중대표소송을 도입하고 있으며, 인정범위에 관하여 상법상 모자회사관계에 국한하여 인정하였다. 즉 발행주식총수의 100분의 1(상장회사 10,00분의 1) 이상에 해당하는 주식을 가진 지배(모)회사의 주주가 자회사의 이사의 책임을 추궁할 수 있도록 한다(§§403, 524의6). 원고 주주의 지배회사에 대한 지분율은 현행 상법상 대표소송의 제소요건이 1%(상장회사 0.01%)임을 감안하여 다중대표소송에 대한 제소요건도 동일하다. 또 상법에서 대표소송은 제소 당시 지분을 보유하도록 규정하고 있기 때문에 다중대표소송에서도 이와 같아야 할 것이다. 선진외국의 경우 판례 및 제도적으로 다중대표소송을 도입하는 입장이 우세하다. 미국의 경우 법조협회나 모범회사법에서 이중대표소송을 인정하는 입장이며, 원고적격에 대하여도 해석적으로 해결하고 있다. 일본의 경우는 명문의 규정을 두고 있다. 일본회사법 제847조의3에서 다중대표소송을 규정하였으며, 소송요건에 관하여는 매우 제한적으로 해석하여 적용하고 있다. 즉 지배(지주)회사는 최종 완전모회사인 경우를 말하며, 회사의 소수주주가 원고 적격성을 가지며 원고 주주는 6개월 전부터 계속하여 최종 완전모회사 의결권 총수 1% 이상 의결권 주식을 보유한 경우이다. 영국과 독일의 경우에는 직접 제도적으로 규정하고 있지도 않고 판례에서도 명확히 인정하고 있지는 않다. 하지만 법리적 해석을 통하여 종속회사에 대한 모회사 주주의 권리를 인정할 여지를 두고 있다. 어쨌든 다중대표소송이 도입되면 기업경영에도 상당한 영향을 미친다. 현실적으로 기업소송의 부담이 증가하고, 기업의 위험부담도 증가할 것이다. 또한 경영진을 대변하는 재계의 입장은 다중대표소송이 자회사에 대한 경영간섭과 소송 남발 등의 부작용을 낳을 것이라고 한다. 그럼에도 불구하고 2020년 9월 21대 국회에서 이른바 ‘경제3법’을 중심으로 상법상 다중대표소송제도를 규정하였고, 동년 12월 법제화되었다(§406의2). 상법상 다중대표소송(multiple derivative suit)의 도입으로 주주보호와 기업경영에 미치는 영향에 대한 연구가 필요하며, 이것이 기업의 구조조정 및 투명성 확보에 도움이 되는지 주시해야 한다. 특히 장차 이 제도의 운용과 관련하여, 미국이나 일본 등 선진외국의 경우를 면밀히 검토하여 운영해 감으로써 상법상 주주의 회사에 대한 경영통제와 기업경영의 선순환에 기여하도록 해야 한다.
In the long run, late Dec. 2020 in Korea multiple derivative suit has been codified on commercial law. Nevertheless the reasonable criteria of multiple derivative suit was not also matched on the commercial code operating. I think the criteria like that of mother-daughter (Mutter-Töchter) should be applied in a company group in korean commercial code. And also whether a subsidiary should be listed or not, I think it is the non-listed company for regard to the relations of shareholders' relationship of the mother company and the subsidiary. And the mother company's minority need to put a suit against the mother company and the daughter company on both hands before doing multiple derivative suit. Korean revised commercial draft(2016) introduced multiple derivative suit for the shareholders' protection, admitting the relation of mother-daughter company. That is, the shareholders owning 1/100%(1/10,000 listed company) of mother's company total shares are able to hold the subsidiary's directors responsible for illegal act. In consideration of shares to the company in representative suit on commercial code at present, the requirement also would be as the same in multiple derivative suit. However in the case of advanced foreign nations, almost multiple derivative suit is admitted on a code or case law. In America double derivative suit is admitted on ABA or MBCA. In Japan it is codified on Japanese revised company law, Multiple derivative suit is also codified on the law(§847.3), and the requirement is so limited. That is, mother company owns 100% shares of a subsidiary and the plaintiff shareholder owns not less than 1% voting shares. Furthermore in England and Deutchland multiple derivative suit is not the direct regulation but the room for admitting it. Anyway now multiple derivative suit has been codified in Korea late 2020 and the cost of a suit and burden of risk in a company will increase. And also business circle says that multiple derivative suit will cause the side effects of litigation abuse against management. As the result of it, the investment of a company is passive and small capital from the company. So after all that will cause the contraction of management in the company. In this circumstance, korean revised commercial law has codified multiple derivative suit. Now we need to further study the protection of minority shareholders and the effect of company management. Especially about operating the legal system, reviewing the examples of advanced foreign nations would contribute to shareholders' management controlling and the virtuous cycle of company management.
