2020년도 1월부터 7월 현재 대법원이 내린 판결 중 3개의 판결을 중심으로 그 판시사항을 검토하고자 한다. 이 판결들은 상호속용 양수인이 부담하는 책임의 범위 및발생시기, 상환주식의 상환권 행사와 주주의 지위 및 명의개서와 주식의 소유권 귀속에 대한 내용을 다루고 있다. 첫 번째 판결은 상호속용 양수인이 부담하는 책임의 범위 및 발생시기에 대한 것으로 동 판결에서 대법원은 상법 제42조 제1항에 따라 양수인이 책임지는 제3자의 채권은 영업양도 당시까지 발생한 것이어야 하므로, 보증인이영업양도 당시 피보증인인 양도인에 대한 구상금 채권을 가지지 못하였다면 구상권의 효력 확보를 위하여 인정되는 대위변제금 청구 역시 할 수 없는 것이라고 보았다. 두 번째 판결에서 대법원은 상환주식의 상환권 행사와 주주의 지위에 대한 사항을 검토하면서, 대법원은 정관이나 상환주식인수계약 등에서 특별한 정함이 없다면 주주가회사로부터 상환금을 받을 때까지는 여전히 주주의 지위를 갖는다고 판시하였다. 명의개서와 주식의 소유권 귀속에 대한 내용을 다룬 마지막 판례에서 대법원은 주주명부에 명의개서를 하는 것은 회사에 대하여 주주권 행사를 위한 상법상의 대항요건이지만, 명의개서를 하지 않았다고 하여 주주가 그 권리를 상실하지 않는다는 점을 분명히 하였다. 이러한 판결들을 통해 대법원은 상호를 속용하는 양수인의 책임범위 및 상환주식을 가진 주주가 상환권을 행사한 경우 그 주주로서의 지위가 유지되는 시기를 더 명확하게 정리하고, 주주권 행사를 위한 대항요건과 주식 이전의 효력발생요건이 구분되어야 함을 재확인함으로써, 학계는 물론 실무상 그 적용에 있어 긍정적인영향력을 미칠 수 있게 되었다고 본다.
The article reviews three cases of the Supreme court in 2020 in relation to the Commercial Act. The first case is about the liability of business transferee who continues to use trade name, under the provision of Article 42 (1), which provides “if a transferee of a business continues to use the trade name of the transferor, he/she shall also be liable for repayment of the obligations of a third party arising out of the business of the transferor.” The Supreme court noted that a transferee of a business continues to use the trade name of the transferor should be liable for repayment of obligations of a third party arising only if the obligations exist at that time of the business transfer. The second case is related to Article 345 (3), providing “a company may, as prescribed in its articles of incorporation, issue different classes of shares with which the shareholders may demand redemption of shares against the company. In such cases, the company shall determine in the articles of incorporation the rights of shareholders to demand redemption against the company, and the price, period, and methods of the redemption of shares.” The court decided that the shareholder with redeemable shares still was able to exercise his rights until the company paid the price of the shares without exceptional circumstances. Finally, the last case is related to the register of shareholders under Article 337 (1), which provides “the effect of transfer of shares shall not be asserted against the company, unless the name and address of the transferee have been entered in the register of shareholders.” The court noted that the effect of transfer of share and the requirement for setting up against the company to exercise rights as a shareholder. The Supreme court noted reasonable ideas to resolve above related problems in these cases, and this article examines their meanings.
