Practical Research on Leading Case - the First Authorization of Pre-Packaged Plan -

현행 채무자 회생 및 파산에 관한 법률 제223조 등은 ‘회생계획안의 사전제출제도’에 관하여 규정하고 있다. ㈜성우엔지니어링은 2017. 6. 22. 창원지방법원 2017회합10023호로 회생절차 개시신청을 하였고, 이후 약 6개월에 걸친 절차 진행 끝에 인가 및 종결되었다. 본 사건은 현행법에 따른 회생계획안의 사전제출제도가 적용된 최초의 인가 및 종결 사례인바, 진행경과를 분석해보면 회생계획안의 사전제출제도가 적용된 회생절차 기간은 대략 3개월 내외가 적정한 것으로 추산된다. 회생기업은 신청이나 개시 자체로 신용도 급락, 채권회수, 거래처의 기피 등으로 영업과 신규투자에 막대한 지장을 겪게 되며, 따라서 절차의 신속성과 효율성이 우선적으로 강조될 수밖에 없다. 그럼에도 불구하고 회생절차는 개시, 인가, 종결이나 허가신청 등에 대한 각종 심리, 채권조사나 채권자 동의를 위한 각종 절차 진행 등에 있어 법에 근거한 공정한 절차진행과 결정을 본질적 요소로 하는 사법절차이고, 그러한 공정성을 기초로 부실기업이 회생하는데 필요한 M&A나 채무의 감면변경 등 다수 이해관계인과의 집단적 법률관계 조정이 비로소 정당화될 수 있는 것이다. 이와 같이 서로 상반될 수 있는 법익들 사이의 충돌은 회생절차의 실효적 운용을 어렵게 하는 요인이 되기도 한다. 회생계획안의 사전제출제도는 그러한 법익충돌을 극복하고 회생절차의 실효적 운용을 가능하게 할 수 있는 대안 중 하나가 될 수 있을 것이다.

Article 223 of Debtor Rehabilitation and Bankruptcy Act provide for the ‘Prior Submission of Rehabilitation Proposal(Pre-Packaged Plan)’. Changwon District Court made a decision to grant authorization of the rehabilitation plan and discontinue the rehabilitation procedures, for this case(2017회합10023) after about six months of proceedings. This case is Leading Case of Pre-Packaged Plan: the First Authorization and the First Discontinuation. This thesis introduces and researches this case of Pre-Packaged Plan as the following steps: STEP 1: Application Filed for Commencing STEP 2: Decision on Commencement STEP 3: Authorization, Implementation and Discontinuation STEP 4: Other Issues According to the research of this thesis, it is considered that the required period for the rehabilitation procedures(STEP 1 ~ STEP 4) of Pre-Packaged Plan is about 3 months appropriately. A debtor undergoes enormous trouble to sales and new investments because of the rehabilitation procedures itself. Therefore, the promptness and efficiency of the procedures should be emphasized first. Nevertheless, the rehabilitation procedures is essentially a judicial procedure for the fairness. The conflict structure between promptness, efficiency and fairness is one of the reasons that make it difficult for smooth progress of the procedures. Pre-Packaged Plan has the potential to be an alternative to solve the conflict structure.
