합명회사의 내부관계는 정관에 의한 사적 자치가 보다 강조되기 때문에 합명회사의 내부 관계 관련 규정들은 대부분 임의규정으로 구성되어 있다. 특히, 합명회사의 업무집행은 이러 한 사적 자치의 핵심이라 할 것인바, 상법 제200조 제1항에서는 원칙적으로 합명회사의 각 사원이 가진 업무집행권한을 정관에 의하여 다르게 정할 수 있음을 강조하고 있다. 합명회사 는 정관으로 업무집행사원을 정할 수 있고(상법 제201조 제1항), 만일 그 업무집행사원이 업 무를 집행함에 현저하게 부적임하거나 중대한 의무에 위반한 행위가 있는 때에는 법원은 사 원의 청구에 의하여 업무집행권한의 상실을 선고할 수 있는데(동법 제205조 제1항), 만일 합 명회사가 이러한 법원의 권한상실선고를 대체하려는 정관 규정을 마련한 경우 이를 어떻게 해석하고 적용해야 하는지에 대하여 최근 대법원은 견해를 제시하였다. 대상판결에서 대법원 은 합명회사의 정관이 총사원의 결의로써 업무집행사원의 업무집행권한을 상실하게 할 수 있다고 규정하고 있음에도 불구하고 합명회사의 사원은 상법 제205조 제1항과 동법 제195조 가 준용하는 민법 제708조 중 어느 하나의 방법으로 업무집행사원의 업무집행권한을 상실시 킬 수 있다고 하였는바, 본 논문에서는 임의규정의 개념 및 한계, 사적 자치의 제한을 위한 공익의 의미 등을 통하여 이에 대한 타당성 검토를 하고자 한다.
In a partnership company, unless otherwise provided for in the articles of incorporation, each member has the rights and obligations to manage the affairs of the company. If other members raise an objection in respect to the management of affairs by any member, the said member shall immediately suspend such act and follow a decision of a majority of all the members. Also, if one or more members have been designated by the articles of incorporation as managing members, those members shall have the rights and obligations to manage the affairs of the company. If other managing members raise an objection in respect to an act of management by a managing member, that member shall immediately suspend such act and follow the decision of a majority of all the managing members. However, according to the Article 205 (1) of the Commercial Code, if a managing member is clearly unfit to manage the company or he/she has breached material duties, a court may, upon the request of a member, adjudicate the forfeiture of the power against such managing member. When a judgment has become final and conclusive, such fact shall be registered at the place of the principal office and branch offices of the company. Recently, in the Decision 2014Da51541, the Supreme Court noted that the Article 205 (1) of the Commercial Code was still able to be applied in particular cases even though members agreed to change this non-mandatory provision in the articles of incorporation. In order to review this conclusion, this article studies the essence of the partnership company, non-mandatory provision, principle of private autonomy and public interest, and it criticizes the decision of the Supreme Court.
