Owing to the dispersion of share ownership of large corporations, shareholders were mostly passive, and managements were deemed to be in control themselves. We have discussed for decades how to resolve this problem, and how to recover shareholder's right. As internet industries improvement, shareholders could mutually communicate through the portal site, and it make pave the way for minority shareholder activism. In 1998, Our commercial law adopted shareholder proposal rule to strengthen shareholders' voice in corporate affairs. But shareholder proposals were widely ignored by manager even when shareholders did support them. I suggest that it is necessary to improve shareholder proposal rule as follows. 1) mitigating one's shares for shareholder initiatives in small company, 2) revision of rule to introduce recommendation proposal, 3) revision of rule to the deadline for the submitting at an extraordinary general meeting, 4) revision of rule to procedural regulations of rejecting the proposal, 5) revision of rule to use proxy statement when proponents submit proposal, etc.
