본 연구는 제3섹터 지방공기업의 출자지분 및 이사회구조의 현황과 문제점을 분석하고, 효율적인 운영방안을 도출하는데 목적을 두고 있다. 분석결과 대부분의 제3섹터 지방공기업이 출자지분 및 이사회구조 측면에서 많은 문제점을 갖고 있다. 따라서 효율적인 제3섹터 지방공기업의 운영을 위해서는 합리적인 지배구조를 모색할 필요가 있다. 출자지분적 측면에서는 공공부문과 민간부문에 대한 재개념 정의가 필요하며, 이사회구조적 측면에서는 유명무실한 이사회의 기능을 정책위원회형으로 재정비해야 할 것이며, 사장선임의 전문성과 이사회 구성의 대표성, 이사회에 대한 외적 통제장치를 확보하는 것이 중요하다.
In a rapidly changing environment, there are an unavoidable relationship between affairs that are largely associated with the public sector(government) and those associated with the private sector(business). One purpose of this paper is to examine the links between the two sectors, and to analyze the awful contradictions and gaps in the way they conduct their affairs. This is that the policy and management of the current the third sector proved to be inadequate for prospective management system. First of all, it is recommended that the inconsistency related laws revised. Second, various alternatives for controlling the third sector should be applied. Especially relevant analysis of work, improvement of corporate governance structure, evaluation system is needed. Finally it is necessary to develop the autonomous partnerships.
